April 2019 bestätigte die Generaldirektion für Register und Notariat (DGRN) den Beschluss eines Handelsregisters, der einer spanischen GmbH eine Satzungsänderung ablehnte, die vorsah, dass die Gesellschaftsbeschlüsse mit einer Mehrheit von mindestens achtzig Prozent des Stammkapitals gefasst werden müssen.
Das Register argumentierte, dass die Änderung der ordentlichen Mehrheit auf „mindestens achtzig Prozent der Stimmenrechte“, Beschlüsse beeinträchtigt, die gesetzlich einer zwingenden ordentlichen Mehrheit unterliegen.
Insbesondere bezieht sich der Registerführer auf die für die Beschlussfassung über die Auflösung aus rechtlichen Gründen oder auf die gesellschaftliche Haftungsklage gegen Geschäftsführer, in denen eine andere als die im Gesetz festgelegte einfache Mehrheit erforderlich ist. Zum Beispiel zur Abberufung der Geschäftsführer kann eine gemäß Satzung verstärkte Mehrheit, die zwei Drittel der Stimmen, in die das Grundkapital eingeteilt ist, nicht überschreiten.
Angesichts dieses Beschlusses wurde Berufung eingelegt, mit dem Argument, dass die Satzung festlegt, dass die Gesellschaft den Bestimmungen der Satzung und des Gesetzes unterliegt. Die DGRN lehnte dies ab, da auf das Gesetz verweisende Gattungsklauseln nicht ausreichen, um den aufgezeigten Mangel zu beheben.
Dies liegt daran, dass die vorgelegten Fälle Mittel zum Schutz der Rechte des Gesellschafters sind, der durch die Zweifel, die durch den fehlenden ausdrücklichen Hinweis auf die Nichtanwendung der angestrebten verstärkten gesetzlichen Mehrheit entstehen könnten, ungeschützt bleiben könnte. Damit die Klausel gültig ist, sollte sie daher diejenigen Fälle, in denen das Gesetz die Rechte des Gesellschafters in besonderer Weise schützt, allgemein oder ausdrücklich freistellen.

[value] => El pasado 24 de abril de 2019, la DGRN confirmó la resolución de un registrador que denegaba en una sociedad limitada una modificación estatutaria que establecía que los acuerdos sociales se adoptarían por una mayoría de al menos un ochenta por ciento del capital social.
El registrador argumentaba que, al modificarse la mayoría ordinaria estableciéndola en “al menos un ochenta por ciento de los votos correspondientes a las participaciones sociales en que se divide el capital social”, quedarían incluidos acuerdos por los que la Ley exige una mayoría ordinaria imperativa.
Concretamente, el registrador se refiere a los casos previstos para la adopción del acuerdo de disolución por causa legal o la acción social de responsabilidad contra administradores, en los cuales se dispone que no pueda exigirse una mayoría distinta a la ordinaria establecida en la ley, que para cesar a los administradores determina que se podrá exigir estatutariamente una mayoría reforzada que no podrá superar los dos tercios de los votos correspondientes a las participaciones en las que se divida el capital social.
Ante dicha calificación negativa, se interpuso recurso en el que se alegaba que aquellos supuestos en los que la ley exige mayorías imperativas quedaban salvados por las previsiones fijadas en los estatutos, según los cuales la Sociedad se rige por lo dispuesto en los estatutos y en la ley, pero la DGRN lo desestima confirmando la decisión del registrador y estableciendo que las cláusulas genéricas de remisión a la ley no son suficientes para salvar el defecto señalado.
Ello se debe a que los casos expuestos son medios de protección de los derechos del socio, que podría quedar desprotegido por las dudas que pudiera generar la falta de referencia expresa a la no aplicación de la mayoría reforzada estatutaria pretendida. Por tanto, para que la cláusula fuese válida debería exceptuar de manera genérica o expresa aquellos casos en los que la ley protege los derechos del socio de forma especial.
