[value] => Am 17. Oktober veröffentlichte die Nationale Wertpapierbörsenkommission (CNMV) ihren jährlichen Unternehmensführungsbericht für das Geschäftsjahr 2017. Dieser legt in zusammengefasster Form die Hauptmerkmale der Unternehmensführungs-Strukturen von Emittenten von Wertpapieren fest, die zum Handel in Spanien zugelassen sind.
Emittenten börsennotierter Wertpapiere sind nach dem spanischen Kapitalgesellschaftsgesetz (LSC) oder dem Wertpapiermarktgesetz (LMV) verpflichtet, einen jährlichen Unternehmensführungsbericht (IAGC) über ihre Unternehmensführungs-Strukturen und den Grad der Einhaltung der Empfehlungen des von der CNMV genehmigten Kodex der guten Führung börsennotierter Unternehmen vorzulegen und zu veröffentlichen.
Die CNMV ihrerseits ist nach dem LSC befugt, die Regeln der Unternehmens-führung zu überwachen. Zu diesem Zweck kann sie alle diesbezüglich erforderlichen Informationen sammeln und veröffentlichen, die sie für relevant hält. Konkret ist 2017 das vierzehnte Jahr in Folge, in dem die CNMV das IAGC veröffentlicht und das dritte seit der Anwendung des „aktuellen“ Kodex der guten Führung.
Was die Einhaltung der Empfehlungen des Kodex der guten Führung betrifft, so ist darauf hinzuweisen, dass im Vergleich zu 2016 84,6% der spanischen börsennotierten Unternehmen diese Empfehlungen einhalten. Im Gegenzug haben nur vier dieser Unternehmen (Bankia, CAF, Corporación Financiera Alba und Euskaltel) alle von der Regulierungsbehörde angebotenen Richtlinien zu 100% erfüllt. Andererseits sind die Empfehlungen, die von börsennotierten Unternehmen am wenigsten befolgt werden, die im Zusammenhang mit der Trennung des Vergütungsausschusses von der Besetzung von Positionen in Large-Cap-Unternehmen und die im Zusammenhang mit der Transparenz der Informationen in der Hauptversammlung über ihre Website (mit 31,6% bzw. 36,7% der Einhaltung).

[value] => El pasado 17 de octubre, la CNMV publicó el Informe Anual de Gobierno Corporativo correspondiente al ejercicio 2017. Dicho documento recoge de forma agregada las principales características de las estructuras de gobierno corporativo de los emisores de valores admitidos a negociación en España.
Los emisores de valores admitidos a cotización se encuentran obligados por la Ley de Sociedades de Capital (LSC) o por la Ley del Mercado de Valores (LMV) a presentar un Informe Anual de Gobierno Corporativo (IAGC) sobre sus estructuras de gobierno corporativo y el grado de cumplimiento de las recomendaciones incluidas en el Código de Buen Gobierno de las sociedades cotizadas aprobado por la CNMV, así como a difundirlo públicamente.
La CNMV, de su parte, está facultada, al amparo de la LSC, para proceder al seguimiento de las reglas de gobierno corporativo, a cuyo efecto podrá recabar cuanta información precise al respecto, así como hacer pública la información que considere relevante sobre su grado efectivo de cumplimiento. Concretamente, 2017 es el decimocuarto ejercicio consecutivo en que la CNMV publica el IAGC y el tercero desde la aplicación del “vigente” Código de Buen Gobierno.
En cuanto al cumplimiento de las recomendaciones que ofrece el Código de Buen Gobierno de la CNMV, cabe destacar que el grado de seguimiento de las 139 cotizadas españolas ha ascendido levemente respecto a 2016, hasta alcanzar un 84,6% de aquellas recomendaciones. A su vez, sólo cuatro de estas sociedades (Bankia, CAF, Corporación Financiera Alba y Euskaltel) cumplieron al 100% con la totalidad de las directrices ofrecidas por el regulador. Por otro lado, las recomendaciones que menos cumplen las sociedades cotizadas son las relacionadas con la separación de la comisión de retribuciones de la de nombramientos en las sociedades de elevada capitalización; y las relativas a la transparencia informativa en la junta general a través de su web (con un 31,6% y 36,7% de seguimiento respectivamente).
