[value] => Ein erst jetzt in der Fachliteratur veröffentlichter Beschluss des Kammergerichts Berlin vom 08.09.2016 (Az. 20 Sch 3/16) beschäftigt sich mit der immer wiederkehrenden Frage der Einbeziehung von AGB im grenzüberschreitenden Rechtsverkehr. Eine niederländische Gesellschaft hatte einer deutschen Gesellschaft Walnüsse im Wert von ca. EUR 50.000,00 verkauft. Dabei hatte sie in der Auftragsbestätigung auf ihre AGB verwiesen, welche u. a. eine Schiedsgerichtsklausel beinhalteten. Als die deutsche Partei nicht zahlte, klagte die niederländische Partei vor dem Schiedsgericht. Die deutsche Gesellschaft äußerte nur per E-Mail, dass das Schiedsgericht nicht zuständig sei. Es erging ein Schiedsspruch in Abwesenheit. Dieses Urteil versuchten die Niederländer nun für vollstreckbar zu erklären. Die Deutschen wendeten ein, dass die Schiedsklausel in den AGB der Niederländer nicht wirksam einbezogen sei.
Das KG Berlin erklärte dazu zunächst, dass sich die Einbeziehung – inklusive der Schiedsklausel – nach dem UN-Kaufrecht (oder auch CISG) richte. Im grenzüberschreitenden Verkehr sei grundsätzlich die vollständige Übersendung der AGB notwendig. Die andere Partei treffe keine Erkundigungsobliegenheit. Etwas anderes gelte allerdings dann – und dies ist die Besonderheit des Urteils –, wenn die AGB anlässlich eines früheren Vertrages bereits einmal vollständig übersandt worden waren. Dann genügt bei späteren Verträgen die reine Bezugnahme.
Unabhängig davon, dass die niederländische Gesellschaft den Prozess aus Beweisgründen doch noch verlor, ist die Entscheidung wichtig. Es kann nicht oft genug wiederholt werden, dass AGB grenzüberschreitend – anders als bei innerdeutschen Sachverhalten – vollständig übersandt werden müssen. Allerdings, und dies stellt das Urteil klar, kann die andere Partei dies nicht als „Ausrede“ verwenden. Denn letztlich kommt es auf die zumutbare Kenntnisnahme an und die ist bei Vorkenntnis der AGB immer gegeben.

[value] => Una sentencia de la Audiencia Provincial de Berlin de fecha 08-09-2016 (N° Proc. 20 Sch 3/16), publicada ahora en la doctrina, aborda nuevamente la cuestión de la inclusión de los Términos y Condiciones Generales (TCG) en las relaciones jurídicas transfronterizas. Una sociedad holandesa había vendido nueces a una empresa alemana por valor aprox. de 50.000,00 €, remitiéndose en la confirmación de pedido a sus TCG, que contenían, entre otras, una cláusula de arbitraje. Al no realizar el pago la parte alemana, la parte holandesa interpuso una demanda ante el tribunal de arbitraje. La sociedad alemana manifestó sólo por email que el tribunal de arbitraje no era competente. Se dictó un laudo arbitral en rebeldía. Los holandeses intentaron declarar ejecutiva la resolución. Los alemanes alegaron que no se produjo una efectiva inclusión de la cláusula de arbitraje en los TCG.
La Audiencia Provincial de Berlin manifestó, en primer lugar, que la inclusión de los TCG – incluida la cláusula de arbitraje – se rige por las disposiciones de la Convención de las Naciones Unidas sobre Contratos de Compraventa Internacional de Mercancías (o CISG). En el tráfico internacional se considera necesario el envío completo de los TCG. No corresponde a la otra parte el deber de realizar averiguaciones. Sin embargo, se aplica un criterio distinto – y esta es la peculiaridad de la sentencia – si los TCG fueron ya enviados en su totalidad con motivo de un contrato anterior. Entonces, sería suficiente con una mera referencia en los contratos posteriores.
Con independencia del hecho de que la sociedad alemana perdió el caso por razones de prueba, esta resolución es importante. No se puede sino repetir suficientes veces que los TCG transfronterizos – a diferencia de los asuntos dentro de Alemania – deben enviarse en su totalidad. No obstante, la sentencia deja claro que esto no puede ser utilizado por la otra parte como una “excusa”. Pues, al fin y al cabo, depende del conocimiento razonable y este siempre se da con carácter previo a los TCG.
