[value] => Mit Beschluss der Generaldirektion der Register und Notare vom 26. Juni 2018 ist eine nicht vergütete und lediglich auf bestimmte Gesellschafter („Familienmitglieder“) anwendbare Nebenleistung eingetragen worden, welche aus der „Einhaltung und Beachtung“ einer in öffentlicher Urkunde festgelegten Gesellschaftervereinbarung besteht. Zudem ist die Klausel, wonach der Verstoß gegen die Nebenleistung (d.h. die Verletzung der Vereinbarung) einen Ausschlussgrund darstellt und das Verwaltungsorgan über das Vorliegen eines solchen Verstoßes zu entscheiden hat, als zulässig erachtet worden.
Im Gegensatz zu dem seitens des Registerbeamten geäußerten Einwandes, dass der Inhalt einer Nebenleistung zwingend in den Statuten „festgelegt“ sein müsse, genügt nach Ansicht der Generaldirektion die „Bestimmbarkeit“ der Nebenleistung, sofern es keiner weiteren Vereinbarung zwischen den Parteien bedürfe. Dies sei im Fall der Erfüllung einer Gesellschaftervereinbarung, deren Inhalt in einer mit Datum und Protokollnummer identifizierbaren Urkunde enthalten sei, gegeben. Die Bedeutung dieser Lösung ist erheblich. Es geht nicht nur darum, die Verpflichtung zur Unterzeichnung der Gesellschaftervereinbarung als Gegenstand der Nebenleistung festzulegen (durchaus praxisüblich), sondern die Erfüllung der Vereinbarung selbst wird als Nebenleistung aufgenommen, deren Nichterfüllung einen Ausschlussgrund des Gesellschafters begründet.
Inwiefern diese Auffassung des Registers von den Gerichten zugelassen werden wird, bleibt abzuwarten.

[value] => La Resolución de la Dirección General de los Registros y del Notariado de 26 de junio de 2018 ha declarado inscribible una prestación accesoria -no retribuida y aplicable sólo a un determinado tipo de socios “miembros de la familia”- consistente en el “cumplimiento y observancia” de un pacto parasocial documentado en escritura pública. Asimismo, se considera válida la cláusula en virtud de la cual el incumplimiento de la prestación accesoria (es decir, el incumplimiento del pacto) será causa de exclusión y que atribuye al órgano de administración valorar si tal incumplimiento se ha producido.
Frente a las objeciones expresadas por el registrador mercantil, respecto a la necesidad de que el contenido de una prestación accesoria esté “determinado” en los estatutos, la Dirección General considera que el requisito legal queda también cumplido cuando el contenido de la prestación es determinable sin necesidad de nuevo acuerdo entre las partes, como es el caso del cumplimiento del pacto parasocial cuyo contenido consta en una escritura pública identificada por su fecha y número de protocolo. La importancia de esta resolución es evidente. No se trata sólo de establecer como prestación accesoria la obligación de suscribir el pacto parasocial (bastante habitual en la práctica), sino que se configura como prestación accesoria el propio cumplimiento del pacto y su incumplimiento voluntario como causa de exclusión del accionista.
El tiempo dirá si esta doctrina registral es admitida por los Tribunales.
