[value] => Der Brexit naht und angesichts der stockenden Verhandlungen über einen geordneten Austritt des Vereinigten Königreichs aus der Europäischen Union ist die Wahrscheinlichkeit eines „harten“ Brexit groß. Ein wichtiger Aspekt wird der Wegfall der justiziellen Zusammenarbeit zwischen den EU-Mitgliedsstaaten sein. Denn im Laufe der letzten Jahrzehnte hat die EU verbindliches Recht gesetzt, wenn es um die Ermittlung des auf Vertragsverhältnisse anwendbaren Rechts und, bei Rechtsstreitigkeiten, auf die Feststellung des zuständigen Gerichts geht. Die Brüssel-Ia-Verordnung regelt die gerichtliche Zuständigkeit sowie die Vorausset-zungen für die gegenseitige Anerkennung von Urteilen innerhalb der EU. Sie erleichtert die Durchsetzung von Ansprüchen gegenüber ausländischen Vertragspartnern in der EU erheblich. Mit einem „harten“ Brexit entfallen die Anwendungsvoraussetzungen für Urteile und gerichtliche Vergleiche. Zwar beabsichtigt der britische Gesetzgeber, auch für den Fall eines „harten“ Brexit nationale Vorschriften zu schaffen, die in diesem Bereich einen abgefederten Übergang schaffen sollen. Dies kann aber dann nicht gelingen, wenn eine Verordnung als Tatbestandsvoraussetzung bestimmt, dass beide Unternehmen in einem Mitgliedstaat ansässig sind weil das Vereinigte Königreich ab Ende März 2019 nicht mehr dazu gehören wird. Deshalb ist schon jetzt zu raten, bestehende Verträge daraufhin zu untersuchen, ob Gerichtsstandsvereinbarungen getroffen worden sind, die auch nach dem Brexit noch zweckmäßig sind. Als Alternative kommen Schiedsgerichtsklauseln in Betracht, weil sich die Anerkennung von Schiedssprüchen zwischen den Mitgliedstaaten und dem Vereinigten Königreich nicht nach Europäischem Recht richtet, sondern nach einem internationalen Abkommen (New York Convention). Wenn Unternehmen vollstreckbare Titel gegen Vertragspartner in dem Vereinigten Königreich haben, sollten sie Vollstreckungsmaßnahmen schnellstmöglich einleiten, um noch von den aktuell gültigen Vorschriften zu profitieren.

[value] => El Brexit se acerca y al haber disminuido el ritmo de las negociaciones para una salida ordenada de Reino Unido de la UE, existe una gran probabilidad de un Brexit “duro”. Un aspecto importante será el cese de la cooperación judicial entre los Estados miembros de la UE, pues, a lo largo de las últimas décadas, la UE ha adoptado una legislación vinculante cuando se trata de identificar el derecho aplicable a las relaciones contractuales y determinar el tribunal competente en los litigios.
El Reglamento Bruselas I bis regula la competencia judicial, así como las condiciones para el reconocimiento recíproco de resoluciones judiciales dentro de la UE, lo que facilita enormemente la ejecución de reclamaciones contra las partes contractuales extranjeras en la UE. Con un Brexit “duro” se omiten los requisitos para la aplicación de sentencias y acuerdos judiciales. Aunque, en un principio, el legislador británico, incluso en el supuesto de un Brexit “duro”, creará normas nacionales para crear una transición amortiguada en este ámbito; sin embargo, esto no podrá tener éxito si una normativa establece como requisito que ambas sociedades estén domiciliadas en un Estado miembro porque Reino Unido dejará de pertenecer a la UE a partir de finales de marzo de 2019.
Por ello, se aconseja desde ahora examinar los contratos vigentes para ver si se han adoptado acuerdos de elección de foro que sigan siendo adecuados tras el Brexit. Como alternativa pueden considerarse las cláusulas de arbitraje, ya que el reconocimiento de los laudos arbitrales entre los Estados miembros y el Reino Unido no se rige por la legislación europea sino por un convenio internacional (Convención de Nueva York).
Las sociedades que tengan títulos ejecutivos contra partes contratantes en Reino Unido deberán iniciar lo antes posible acciones ejecutivas para poder beneficiarse todavía de la normativa actual.
