[value] => Am 1.6.2018 ist der Gesetzesentwurf über Geschäftsgeheimnisse veröffentlicht worden. Das zukünftige Gesetz soll die Richtlinie (EU) 2016/943 des Europäischen Parlaments und des Rates über den Schutz vertraulichen Know-hows und vertraulicher Gechäftsinformation (Geschäftsgeheimnisse) vor rechtswidrigem Erwerb sowie rechtswidriger Nutzung und Offenlegung umsetzen.
Der Gesetzesentwurf definiert den Begriff Geschäftsgeheimnis, sowie die Fälle rechtswidrigen Erwerbs, rechtswidriger Nutzung und rechtswidriger Offenlegung von Geschäftsgeheimnissen. Er sieht ferner den zivilrechtlichen Schutz vor, der gegen rechtswidrige Handlungen zur Verfügung steht und ein besonderes Verfahren, um die entsprechenden Ansprüche vor dem Handelsgericht geltend zu machen.
Gemäß dem erwähnten Gesetzesentwurf stellen ein unbefugter Zugang und ein unbefugtes Kopieren von Dokumenten, Gegenständen, Materialien, elektronischen Dateien oder anderen Datenträgern, die das Geschäftsgeheimnis enthalten, sowie jede andere Handlung, die mit einer seriösen Geschäftspraxis als nicht vereinbar gilt, eine Verletzung des Geschäftsgeheimnisses dar.
Die rechtswidrige Offenlegung von Geschäftsgeheimnissen hat auch strafrechtliche Relevanz. Die Artikel 278 bis 286 des spanischen Strafgesetzbuches bestrafen unter anderem die rechtswidrige Aneignung von Daten und Dokumenten eines Unternehmens um ein Geheimnis zu entdecken, sowie die Offenlegung oder Abtretung eines Geschäftsgeheimnisses. Diese Straftaten können seitens einer juristischen Person begangen werden und sind Gegenstand der strafrechtlichen Compliance Programme. Das zukünftige Gesetz über Geschäftsgeheimnisse definiert das Geschäftsgeheimnis mit Genauigkeit und regelt, wann der Erwerb eines Geschäftsgeheimnisses rechtswidrig ist. Die in diesem Gesetz definierten Begriffe können auf die strafrechtliche Regelung übertragen werden, sodass zu erwarten ist, dass das Gesetz in einem so wichtigen Bereich wie der dem Erwerb und der Nutzung geheimer Information und vertraulichen Datenbanken einen entscheidenden Einfluss auf die strafrechtlichen Compliance Programme haben wird.

[value] => El 1 de junio de 2018 se publicó en el Boletín Oficial de las Cortes el Proyecto de Ley de Secretos Empresariales, que transpone al derecho español la Directiva (UE) 2016/943 del Parlamento Europeo y del Consejo, de 8 de junio de 2016, relativa a la protección de los conocimientos técnicos y la información empresarial no divulgados (secretos comerciales) contra su obtención, utilización y revelación ilícitas.
El Proyecto de Ley define qué es secreto empresarial y determina los supuestos en los que se produce la violación de secretos. Asimismo, prevé las acciones civiles que proceden contra los actos de violación de secretos y regula un procedimiento específico para el ejercicio de dichas acciones ante los Juzgados de lo Mercantil.
Con arreglo al Proyecto de Ley, constituye violación del secreto empresarial el acceso o copia no autorizados de documentos, objetos, materiales, ficheros electrónicos u otros soportes que contengan el secreto empresarial, así como cualquier otra actuación contraria a las prácticas comerciales leales. Igualmente se considera violación del secreto empresarial la utilización o revelación de secretos obtenidos de forma ilícita o contraviniendo una obligación contractual de secreto.
La revelación de secretos empresariales tiene también una vertiente penal. Los artículos 278 a 286 del Código Penal penalizan, entre otras conductas, el apoderamiento de datos o documentos de una empresa para descubrir secretos, así como la revelación, o cesión de un secreto de empresa. Estos delitos pueden ser cometidos por la persona jurídica y son contemplados en los programas de compliance penal. En la medida en que la futura Ley de Secretos Empresariales define con precisión el secreto empresarial y determina cuándo la obtención de un secreto es ilícita, conceptos que se pueden transpolar a la norma penal, es claro que va a informar decisivamente la orientación de los programas de compliance penal en un área tan transcendente como es la obtención y utilización de información secreta y bases de datos confidenciales.
