[value] => In der EU haben die Mitgliedstaaten in ihren jeweiligen Rechtsordnungen Instrumente geschaffen, mit denen die Rechtshandlungen des Schuldners kurz vor der Eröffnung des Insolvenzverfahrens angefochten werden können, wenn sie seine Gläubiger benachteiligen. In der Praxis ist dies jedoch bei grenzüberschreitenden Transaktionen nicht immer einfach. Denn in solchen Fällen müssen die Vorschriften zur Bestimmung des anwendbaren Rechts oder der zuständigen Justizbehörde sowie die Auslegungsschwierigkeiten, die sich aus ihrer Anwendung ergeben, berücksichtigt werden.
Diese Problematik wurde in einem neueren Urteil des EuGH vom 14.03.2019 (Rechtssache C-695/17) aufgegriffen. Der EuGH hatte durch Auslegung der Richtlinie 2010/24/EU festzustellen, gegen wen die Klage auf Rückforderung von Beträgen zur Insolvenzmasse zu richten war (Passivlegitimation), die von der finnischen Verwaltung auf Ersuchen von estnischen Behörden von einem finnischen Unternehmen (nachdem dieses insolvent geworden war) beigetrieben worden waren. Der Insolvenzverwalter des finnischen Unternehmens meinte, der finnische Staat sei dadurch zum Nachteil der anderen Gläubiger unangemessen bevorzugt worden.
Der EuGH hat entschieden, dass der ersuchte Mitgliedstaat (Finnland) als Beklagter des Rückgewährverfahrens anzusehen ist, obwohl der finnische Staat die Vollstreckungshandlung nur im Auftrag von Estland vorgenommen hat. Wenn die Vollstreckungsmaßnahme erfolgreich angefochten wird, muss der ersuchende Mitgliedstaat (Estland), die entsprechenden Beträge anschliessend an Finnland zurückerstatten.

[value] => En la UE, los Estados miembros han establecido en sus respectivos ordenamientos jurídicos instrumentos para impugnar aquellas actuaciones llevadas a cabo por el deudor con carácter previo y próximo a la declaración del concurso que resulten perjudiciales para el conjunto de los acreedores. En la práctica, esto no siempre resulta sencillo cuando se trata de transacciones transfronterizas, ya que en estos casos entrarían en juego las disposiciones para la determinación del derecho aplicable o del órgano judicial competente así como los problemas interpretativos derivados de su aplicación.
Esta problemática se pone de manifiesto en una reciente sentencia del TJUE de 14-03-2019 (Asunto C-695/17). El TJUE tuvo que determinar mediante la interpretación de la Directiva 2010/24/UE contra quién debía interponerse la acción para la reintegración en la masa concursal de una sociedad finlandesa (legitimidad pasiva) de los importes cobrados por las autoridades finlandesas a petición de las autoridades estonias, después de que dicha sociedad fuera declarada insolvente. El administrador concursal de la empresa finlandesa alegó que se había favorecido indebidamente al Estado finlandés en perjuicio de los demás acreedores.
El TJUE consideró que el Estado miembro requerido (Finlandia) debe ser considerado como el demandado en el procedimiento de reintegración, a pesar de que el Estado finlandés llevó a cabo la ejecución del cobro sólo en cumplimiento de la petición de Estonia. Ahora bien, si la impugnación de esta medida prosperara, el Estado miembro requirente (Estonia) quedaría obligado finalmente a reembolsar el importe correspondiente a Finlandia.
