[value] => Am vergangenem 27. März wurde der Ministerialerlass JUS/31972018 vom 21. März veröffentlicht, welcher die neuen Formulare für die Einreichung der Jahresabschlüsse im Handelsregister genehmigt. Der Ministerialerlass führt nicht nur Neuigkeiten zur reinen Formularausfüllung durch die hinterlegenden Gesellschaften ein, sondern auch Neuigkeiten hinsichtlich Informationen dessen Verfügungstellung pflichtig ist. Somit ist die wichtigste und bedeutendste Neuheit, die Voraussetzung für die Identifizierung des wirtschaftlichen Eigentümers der Gesellschaften, sofern dieses Eigentum einer oder mehrerer natürlichen Personen entspricht. Hiermit wird beabsichtigt, die Bestimmungen der Richtlinie (EU) 2015/849 in das spanische Recht umzusetzen, die erfordert, dass das wirtschaftliche Eigentum von Gesellschaften der Mitgliedstaaten der Europäischen Union in einem öffentlichen Register identifiziert wird.
Diese neue Anforderung gilt für alle Gesellschaften, die individuelle Jahresabschlüsse hinterlegen, (Geschäftsjahre nach dem 1. Januar 2017), unabhängig von der Gesellschaftsgröße, auch wenn die Jahresabschlüsse in Übereinstimmung mit dem „normalen Modell“ oder über das „verkürzte“ oder „KMU-Modell“ formuliert und hinterlegt werden.
Das Verfahren zur Mitteilung des wirtschaftlichen Eigentümers ist einfach, da das Register für die Identifizierung des wirklichen Eigentümers die Hinterlegung der Jahresabschlüsse benutzt, eine Hinterlegung zu der alle Unternehmen verpflichtet sind.
Es ist jedoch fraglich, ob der ausgewählte Weg für die Umsetzung der Richtlinie der richtige gewesen ist: Die Aufnahme dieser Informationen in Unterlagen, die per Definition hinterlegt werden, um freien Zugang für jedermann zu gewährleisten, führt zu einer Situation, in der das Handelsregister als Datenbank zum Datenschutz der wirtschaftlichen Eigentümer verpflichtet ist, obwohl die europäische Gesetzgebung diese Daten nicht für jedermann zugänglich machen wollte.

[value] => El pasado 27 de marzo se publicó la orden ministerial JUS/31972018, de 21 de marzo, por la que se aprueban los nuevos modelos para la presentación en el Registro Mercantil de las cuentas anuales de los sujetos obligados a su presentación y, con ella, se introducen novedades no solo relativas a la mera cumplimentación del modelo por las sociedades depositantes, sino también a la información que debe ser proporcionada. Así, la principal y más significativa novedad radica en la exigencia de identificación del titular real de las sociedades cuando dicha titularidad real corresponda a una o varias personas físicas. De esta forma, se pretende trasponer a Derecho español los términos de la Directiva (UE) 2015/849, en la que se exige que la titularidad real de las sociedades de los Estados miembros de la Unión Europea quede consignada en un registro público.
Esta nueva obligación resulta de aplicación para todas las sociedades que presenten cuentas individuales de ejercicios cerrados con posterioridad al 1 de enero de 2017, sin importar cuál sea su tamaño, tanto en el caso de que se formulen y depositen cuentas con arreglo al “modelo normal”, como al “modelo abreviado” o al “modelo PYME”.
El procedimiento previsto para comunicar la titularidad real es sencillo, ya que para informar al Registro de la identidad del titular real de la sociedad se aprovecha la presentación a depósito de las cuentas anuales, obligación que tienen todas las sociedades para incluir en ellas el citado dato.
No obstante, cabe cuestionarse que la vía utilizada para la implementación de la Directiva haya sido la correcta, puesto que la inclusión de esta información en unos documentos que, por definición, se depositan para ser accesibles libremente por cualquiera, conduce a una situación en la que el Registro Mercantil se convierte en el custodio salvaguarda de los datos de los titulares reales, que la normativa europea no ha querido que sean accesibles a todos.
