[value] => Die Verwirklichung gemeinsamer unternehmerischer Aktivitäten durch Unternehmer, die in verschiedenen Staaten angesiedelt sind (in diesem Falle eine belgische Gesellschaft und ein spanischer Staatsangehöriger) beginnen üblicherweise mit der Verhandlung und Unterzeichnung eines Gesellschaftervertrages („Rahmenvertrag“), in welchem die Pflicht zur Gründung einer Gesellschaft („Gemeinschaftsunternehmen“) festgelegt wird. Er enthält zudem die Regeln, nach denen die Gesellschaft in der Zukunft geführt werden soll.
Das Verhältnis zwischen den Bestimmungen des Rahmenvertrages und den auf das Gemeinschaftsunternehmen anwendbaren rechtlichen bzw. satzungsmäßigen Regelungen ist konfliktreich. Grundsätzlich tauchen dabei zwei Problemkreise auf:
(i) Erlischt mit Erteilung der Gründungsurkunde der die Gesellschaftsgründung regelnde Gesellschaftsvertrag durch Novation, so dass lediglich die auf den jeweils einschlägigen Gesellschaftstyp anwendbaren gesetzlichen bzw. satzungsmäßigen Regelungen fortbestehen?
(ii) Können die Beschlüsse der Gesellschafterversammlung des Gemeinschaftsunternehmens mit der Maßgabe angefochten werden, der Rahmenvertrag sei verletzt worden? Wie müsste eine solche Anfechtung begründet werden?
Das Landgericht Barcelona (dessen Entscheidungen besondere Bedeutung in der spanischen Rechtspraxis beigemessen wird), entschied am 15. Februar 2018 wie folgt:
(i) “Prima facie“ besteht der Rahmenvertrag fort und kann sich überdies gegen die Satzungen durchsetzen;
(ii) die Beschlüsse der Gesellschafterversammlung, die dem Rahmenvertrag zuwiderlaufen, können angefochten werden. Dafür muss rechtswidriges bzw. missbräuchliches Handeln der Mehrheit gegenüber der Minderheit dargelegt werden.
In jedem Fall ist es ratsam, bei der Aufsetzung der Rahmenverträge besondere Vorsicht walten zu lassen und diesen mit den auf die Gesellschaft anwendbaren Rechtsnormen abzustimmen.

[value] => La realización de actividades empresariales conjuntas por empresarios localizados en distintos estados (en el caso, una sociedad belga y un nacional español) comienzan normalmente mediante la negociación y firma de un acuerdo de socios (denominado “acuerdo base”) en el que se establece la obligación de constituir una sociedad (denominada “sociedad conjunta”) y las reglas por las que se regirá el funcionamiento de esa sociedad en el futuro.
La relación entre las reglas contenidas en el acuerdo base y el régimen estatutario y legal aplicable a la sociedad conjunta es conflictiva y normalmente se plantean dos problemas:
(i) si el acuerdo de socios que da lugar a la constitución de una sociedad se extingue por novación con el otorgamiento de la escritura y por tanto sólo subsisten las reglas estatutarias y las legales aplicables al tipo de sociedad elegido; y
(ii) si es posible impugnar los acuerdos de la junta general de la sociedad conjunta alegando la infracción del acuerdo “base” y cómo debe argumentarse esa impugnación.
Pues bien, la SAP Barcelona de 15 de febrero de 2018 (cuyas resoluciones tienen singular importancia en la práctica judicial española) ha resuelto que:
(i) el acuerdo “prima facie” subsiste e incluso puede prevalecer sobre los estatutos y
(ii) los acuerdos de la junta general contrarios al acuerdo se pueden impugnar por infracción de Ley o por abuso de la mayoría frente a la minoría.
En todo caso es recomendable ser cuidadosos en la regulación de los acuerdos y cuidar bien la coordinación con las normas aplicables a la sociedad.
