[value] => Am 4. September 2018 wurde das königliche Dekret 11/2018, vom 31. August veröffentlicht. Diese Bestimmung setzte dringend drei europäische Richtlinien in das spanische Recht um, dessen Umsetzungsfrist bereits abgelaufen war.
Durch das Inkrafttreten dieser Bestimmung wurden, unter anderem, Normen zur Verhinderung der Geldwäsche verändert. Insbesondere die Umsetzung der Richtlinie 2015/849 (die vierte Richtlinie im Zusammenhang mit dem Vermeid von Geldwäsche) hat die Verpflichtung der Anwälte, die Unternehmen beraten, eingeführt sich in Handelsregister einzutragen.
Die Registrierungspflicht umfasst natürliche oder juristische Personen, die professionell, Gesellschaften oder andere juristische Personen gründen; Geschäfts - oder Schriftführungsfunktionen ausführen, als externer Berater von Gesellschaften und Gesellschaftern agieren, ähnliche Funktionen in Bezug auf andere juristischen Personen ausführen, einen Geschäftssitz oder eine Geschäfts-, Post- oder Verwaltungsadresse für Gesellschaften anbieten, oder andere Dienstleistungen im Zusammenhang mit Unternehmen, Vereinen oder anderen juristische Personen oder Instrumenten ausführen. Die Nichteinhaltung dieser Verpflichtung kann mit einem Betrag von bis zu 60.000 Euro bestraft werden. Obwohl die praktischen Einzelheiten der Änderung dieser Norm noch konkretisiert werden sollen, legt das königliche Dekret fest, dass die Eintragung eines Rechtsanwalts oder Beraters mittels eines vom Justizministerium vorbereiteten Online-Formular erfolgen wird und im ersten Quartal eines jeden Jahres eingereicht werden muss.

[value] => El pasado 4 de septiembre de 2018 se publicaba en el Boletín Oficial del Estado el Real Decreto Ley 11/2018, de 31 de agosto. Dicha norma ha introducido en el ordenamiento español, de manera urgente, tres directivas europeas para las cuales ya había finalizado el plazo de trasposición.
Mediante la entrada en vigor de dicho Real Decreto se modifican, entre otros asuntos, ciertas cuestiones relacionadas con la prevención del blanqueo de capitales. Concretamente, la trasposición de la Directiva 2015/849 (la cuarta directiva destinada a responder a la amenaza del blanqueo de capitales) ha introducido la obligación de inscribirse en el Registro Mercantil a aquellos abogados que asesoren a empresas, para lo cual modifica la redacción de la Disposición Adicional Única de la Ley 10/2010, de 28 de abril, de prevención del blanqueo de capitales y de la financiación del terrorismo.
La obligación de inscripción alcanzará a las personas físicas o jurídicas que, de forma empresarial o profesional, constituyan sociedades u otras personas jurídicas; ejerzan funciones de dirección o de secretarios no consejeros de consejos de administración o de asesoría externa de una sociedad, socio de una asociación o funciones similares en relación con otras personas jurídicas o dispongan que otra persona ejerza dichas funciones; faciliten un domicilio social o una dirección comercial, postal, administrativa y otros servicios afines a una sociedad, una asociación o cualquier otro instrumento o persona jurídicos. El incumplimiento de esta obligación tendrá el carácter de infracción leve y podrá ser sancionada por un importe de hasta 60.000 euros.
Aunque los detalles prácticos sobre la modificación de la norma deben ser concretados, el propio Real Decreto indica que la inscripción del abogado o asesor se realizará a través de un formulario telemático elaborado por el Ministerio de Justicia y deberá presentarse en el primer trimestre de cada año.
