[value] => Thema unseres Newsletters im vergangenen Monat waren die gesellschaftsrechtlichen Zustimmungserfordernisse beim Share Deal.
Oftmals werden in der Praxis Unternehmen nicht durch Veräußerung ihrer Geschäftsanteile, sondern durch Veräußerung und Übertragung der dem Unternehmen zugehörigen Wirtschaftsgüter veräußert. Ein solcher sog. Asset Deal erlaubt beispielsweise die Veräußerung nur eines Betriebsteils.
Veräußerer sind in diesem Fall nicht die Inhaber der Geschäftsanteile (Gesellschafter), sondern das Unternehmen selbst als Inhaber der zu übertragenden Wirtschaftsgüter. Die GmbH wird organschaftlich durch ihre Geschäftsführer vertreten. Ihre Vertretungsmacht ist grundsätzlich unbeschränkt. Sie kann weder durch Gesellschaftsvertrag noch durch Gesellschafterbeschluss oder den Anstellungsvertrag beschränkt werden. Etwaige Zustimmungserfordernisse im Innenverhältnis (z.B. durch eine Geschäftsordnung) haben keine Außenwirkung, d.h. auch in diesen Fällen bleibt der Geschäftsführer im Außenverhältnis vertretungsbefugt. Dennoch muss er im Innenverhältnis – um sich keiner persönlichen Haftung auszusetzen – die Zustimmung der Gesellschafterversammlung einholen. Dies gilt insbesondere bei Vornahme ungewöhnlicher Maßnahmen. Hierzu zählt neben der Ausgliederung wesentlicher Unternehmensteile auch die Veräußerung des Betriebs als Ganzes.
Von dem Grundsatz, dass solche Zustimmungserfordernisse ausschließlich im Innenverhältnis gelten, existiert eine wichtige Ausnahme: Verpflichtet sich nämlich die GmbH zur Übertragung ihres ganzen Vermögens (verstanden als wesentlicher Teil des Vermögens), so ist eine solche Verpflichtung nicht mehr von der organschaftlichen Vertretungsmacht der Geschäftsführer gedeckt. Ein etwaiger Unternehmenskaufvertrag ist bis zur Zustimmung der Gesellschafterversammlung schwebend unwirksam und wird bei Versagung der Zustimmung endgültig unwirksam. Der Zustimmungsbeschluss bedarf (mindestens) der Drei-Viertel-Mehrheit und muss in eine notariell beurkundete Versammlungsniederschrift aufgenommen sein.

Sin embargo, en la práctica frecuentemente se opta por una venta empresarial mediante la venta y transmisión de los activos de la sociedad (Asset Deal) que por la venta de sus participaciones sociales.
Vendedores son, en tales casos, no los propietarios de las participaciones sociales (los socios), sino la empresa en sí en su calidad de propietaria de los activos a enajenar.
La representación legal de la sociedad limitada alemana (GmbH) la asumen los administradores de la misma, con facultad de representación ilimitada, y sin posibilidad de ver tal facultad limitada por los estatutos sociales o por acuerdo social, ni en virtud de las estipulaciones de sus propios contratos laborales. Carecen igualmente cualesquiera requisitos de autorización que existan a nivel interno (por ejemplo, dictado por algún reglamento interno) de cualquier valor vinculante frente a terceros, por lo que se mantiene la facultad representativa del administrador libre de toda limitación. Ahora bien, a nivel interno y para evitar que el administrador incurra en responsabilidad personal, debe hacerse éste con el visto bueno de la junta general y ello especialmente en casos en que se prevea la realización de negocios de carácter excepcional como, por ejemplo, la venta de unidades empresariales o incluso de la empresa en su totalidad.
Existe a este respecto una excepción importante a la regla general de la facultad de representación ilimitada de los administradores: Si se comprometiera la GmbH a transmitir la totalidad de su patrimonio (que incluye la venta de la parte esencial del patrimonio empresarial), cesa de ostentar el administrador la capacidad de representación para llevar a cabo tal transacción. Un contrato de venta de empresa carecería de validez hasta su debida aprobación por parte de la junta general, perdiendo definitivamente cualquier validez en caso de denegarse la misma. El acuerdo de aprobación requiere una mayoría mínima de tres cuartos de los votos emitidos y debe ser recogido en acta notarial.
