[value] => Das Urteil des Landgerichts Barcelona vom 10. Mai 2018 hat den Umfang der gerichtlichen Kontrolle bzgl. der Geschäftsführervergütung in Erinnerung gerufen. Diese besteht nicht darin, die „Angemessenheit“ der Vergütung zu bestimmen und damit den Willen der Hauptversammlung zu ersetzen; vielmehr hat sich die Prüfung darauf zu beschränken, ob der Beschluss der Hauptversammlung einen Machtmissbrauch darstellt (d.h. Kontrolle der „Mindestangemessenheit“). Für die Beurteilung der Angemessenheit können folgende Elemente in Betracht gezogen werden (i) die in vorangegangenen Jahren verfolgte Praxis (bei veränderten Umständen stellt dies kein entscheidendes Kriterium dar), (ii) die für vergleichbare Aufgaben üblicherweise im Markt entrichtete Vergütung und (iii) das Verhältnis der Vergütung zum Gewinn der Gesellschaft.
Auch wenn das Gericht nicht ausdrücklich auf die anwendbare Norm hingewiesen hat, so kann doch eine nicht angemessene Vergütung aufgrund des Verstoßes gegen Art. 127 Abs. 4 des Kapitalgesellschaftsgesetzes als unzulässig gewertet werden. Diese zwingende Bestimmung schränkt die Möglichkeiten der Gesellschafter in Bezug auf die Festsetzung der Geschäftsführervergütung ein und fordert, dass „die Vergütung ein angemessenes Verhältnis zur Bedeutung der Gesellschaft, der wirtschaftlichen Situation derselben zu gegebenem Zeitpunkt und zum Marktstandard von vergleichbaren Gesellschaften“ haben muss. Bei Verletzung dieser Vorgaben kann jeglicher Gesellschafter oder ein Dritter mit berechtigtem Interesse (beispielsweise Gesellschaftsgläubiger) die Vergütung festlegenden Beschlüsse anfechten oder die Geschäftsführer, welche die Vergütung gezahlt und erhalten haben, zur Verantwortung ziehen.

[value] => La Sentencia de la Audiencia Provincial de Barcelona, de 10 de mayo de 2018, ha recordado que el control judicial sobre la retribución de los administradores no consiste en determinar cuál es la retribución “razonable”, sustituyendo a la voluntad de la junta general, sino que se debe limitar a examinar si el acuerdo de la junta supone o no un abuso de derecho (se trata, por tanto, de un control de “mínimos de razonabilidad”). Entre los elementos que pueden tenerse en cuenta para realizar este juicio de razonabilidad se encuentran
(i)la práctica seguida en ejercicios anteriores (sin que éste sea un elemento determinante si las circunstancias han cambiado), (ii) la retribución que para funciones semejantes se fijan habitualmente en el mercado y (iii) la relación que la remuneración guarda con los beneficios de la compañía.
Aunque el Tribunal no hace referencia al régimen legal aplicable, lo cierto es que una retribución que no sea razonable podrá considerarse ilícita por infracción de lo dispuesto en el apartado 4 del artículo 217 de la Ley de Sociedades de Capital. Esta norma, que es Derecho imperativo, limita las posibilidades que tienen los socios a la hora de fijar la retribución de los administradores y establece que “la retribución debe guardar una proporción razonable con la importancia de la sociedad, la situación económica que tuviera en cada momento y los estándares de mercado de empresas comparables”. Si este precepto se infringe, cualquier socio o tercero con interés legítimo (por ejemplo, acreedores de la sociedad) podrá impugnar los acuerdos que aprobaron la retribución o exigir responsabilidad a los administradores que la pagaron y recibieron.
