[value] => In der Praxis sind immer wieder Fehler im Zusammenhang mit dem Abschluss, der Änderung und der Beendigung des Dienstvertrages eines GmbH-Geschäftsführers festzustellen. Zur Bestimmung des zuständigen Organs ist zunächst der Gesellschaftsvertrag (Satzung) einzusehen. Enthält dieser – wie üblich – keine Regelungen hierzu, ist für die Begründung, Änderung und Beendigung des Anstellungsverhältnisses eines Geschäftsführers die Gesellschafterversammlung zuständig. Dies entspricht der ständigen Rechtsprechung des Bundesgerichtshofs (BGH). Was aber gilt, wenn der Geschäftsführer zum Zeitpunkt der Änderung oder Kündigung seines Dienstvertrages bereits abberufen war? Hier kommt neben der Zuständigkeit der Gesellschafterversammlung die Zuständigkeit des (neuen) Geschäftsführers in Betracht. Denn dieser verfügt allgemein über die Geschäftsführungs- und Vertretungsbefugnis für den Abschluss von Anstellungsverträgen mit Mitarbeitern, sofern diese keine Geschäftsführer sind.
Hierzu hat der BGH in seinem Urteil vom 3.7.2018 – II ZR 452/17 – festgestellt, dass die Änderung des Dienstvertrages eines abberufenen Geschäftsführers erst dann in den Zuständigkeitsbereich des weiteren oder neuen Geschäftsführers fällt, wenn sich das ursprüngliche Dienstverhältnis des Geschäftsführers nach der Abberufung in ein gewöhnliches Anstellungsverhältnis umgewandelt hat. Nur dann besteht nicht die Gefahr, dass der die Änderung oder Kündigung aussprechende Geschäftsführer die Entscheidungskompetenz der Gesellschafterversammlung unterläuft. An dieser Stelle ist besondere Vorsicht geboten, denn das Dienstverhältnis wandelt sich nicht allein aufgrund der Abberufung als Geschäftsführer in ein gewöhnliches Anstellungsverhältnis um. Solange keine vertragliche Änderung erfolgt, besteht der Geschäftsführer-Dienstvertrag grundsätzlich unverändert fort. In dieser Zeit bleibt die Gesellschafterversammlung für die Änderung oder Beendigung dieses Dienstvertrages zuständig. Folglich kann nur diese eine rechtswirksame Vertragsänderung oder -beendigung bewirken.

[value] => Repetidamente ha demostrado la práctica los errores que pueden surgir al concluir, modificar o rescindirse el contrato de servicio del administrador de una sociedad de responsabilidad limitada alemana (GmbH). El órgano competente en este campo es el que designen los estatutos sociales de la sociedad. En caso de carecer los estatutos de tal disposición será la junta general quien se ocupará de cualquier conclusión, modificación y/o rescisión contractual, práctica confirmada por la jurisprudencia del Tribunal Supremo alemán (BGH). Ahora bien, ¿qué hacer si el administrador fue cesado ya en el momento en que se desea modificar o rescindir su contrato? Ante esta situación se ve activada no sólo la responsabilidad de la junta general sino también la del (nuevo) administrador, el cual goza de facultades de representación y de administración en cuanto a la conclusión de contratos laborales con empleados, siempre y cuando no se trate de contratos a nivel de administradores societarios.
En este marco, indicaba el BGH en su sentencia de 3.7.2018 (II ZR 452/17) que la modificación del contrato de servicio de un administrador que ya haya sido cesado en sus funciones sólo puede ser llevada a cabo por el nuevo o por otro administrador si el contrato se ha transformado ya en un contrato laboral ordinario. Efectivamente, sólo en este caso puede evitarse el riesgo de ver socavada la competencia decisoria de la junta general. Atención: La mera separación del administrador de su cargo no transforma su contrato de servicio en un contrato de trabajo. Efectivamente, seguirá siendo válido el contrato de servicio de administrador hasta aquél momento en que tal haya sido modificado, siendo competente para operar tal rescisión o modificación contractual la junta general. En resumen, pues, es la junta general el único órgano competente para modificar o rescindir el contrato de un administrador cesado.
