[value] => Das Oberlandesgericht (OLG) Saarbrücken hat in einem Urteil vom 23.11.2017 (Az. 4 U 44/16) in anschaulicher Weise dargelegt, dass sich eine Schiedsvereinbarung nicht auch auf das Innenverhältnis einer Partei der Schiedsvereinbarung bezieht.
Zur Erinnerung: Eine Schiedsvereinbarung ist die Vereinbarung, ein bestimmtes Rechtsverhältnis durch ein Schiedsgericht entscheiden zu lassen (ein nicht-staatliches Gericht, das häufig aus Gründen der Kosten, Vertraulichkeit oder Zeitersparnis gewählt wird). In den meisten Ländern muss ein staatliches Gericht eine Klage abweisen, die Gegenstand einer Schiedsvereinbarung ist.
Die Klageabweisung wollte auch der Beklagte vor dem Oberlandesgericht Saarbrücken erreichen. Klägerin und Beklagter, beide ansässig in Deutschland, waren gemeinsam Verkäufer (1 + 2) von bestimmten Unternehmensvermögen an ein chinesisches Unternehmen. Der Vertrag mit diesem Unternehmen enthielt eine Schiedsklausel zugunsten eines Schiedsgerichts in Frankfurt am Main. Klägerin (Verkäufer 1) und Beklagte (Verkäufer 2) stritten nun (stark abgekürzt) über die Verwertung bestimmter Sicherheiten aus dem Vertrag. Verkäufer 1 klagte, Verkäufer 2 berief sich auf die Schiedsklausel. In erster Instanz stimmte das Landgericht Saarbrücken der Beklagten auch zu. Das Oberlandesgericht Saarbrücken trat dem entgegen und legt auf über zwölf Seiten in sehr anschaulicher Weise dar, dass die Schiedsklausel im Innenverhältnis der Verkäufer keine Wirkung entfalten kann. Sie gelte nur zwischen den Parteien des Vertrages (Käufer auf der einen Seite, die Verkäufer auf der anderen Seite) und nennt dabei eine Reihe von Argumenten (überzeugend: Läge der Schiedsort in China, würden Verkäufer 1 aus Stuttgart und Verkäufer 2 aus Saarbrücken dann auch behaupten die Schiedsklausel gelte auch im Innenverhältnis?).
Solche Schiedsklauseln und deren Anwendbarkeit sind in Zukunft sehr genau zu prüfen und zu formulieren.

A modo de recordatorio: Un convenio arbitral es un acuerdo por el que las partes deciden someter ante un tribunal arbitral las controversias derivadas de una determinada relación jurídica (un tribunal no estatal que a menudo es elegido por motivo de costes, confidencialidad o ahorro de tiempo). En la mayoría de los países un tribunal estatal debe desestimar una demanda que es objeto de un convenio arbitral.
El demandado quería conseguir también la desestimación de la demanda ante el OLG de Saarbrücken. La demandante y el demandado, ambos domiciliados en Alemania, eran vendedores conjuntamente (1+2) de determinados bienes de una compañía a una empresa china. El contrato con esta empresa contenía una cláusula arbitral a favor de un tribunal de arbitraje en Fráncfort del Meno. Demandante (vendedor 1) y demandado (vendedor 2) discuten ahora (muy abreviado) sobre la realización de determinadas garantías derivadas del contrato. Vendedor 1 demanda, vendedor 2 invocó la cláusula de arbitraje. En primera instancia, el Tribunal Regional (Landgericht, LG) de Saarbrücken dio la razón al demandado. El OLG de Saarbrücken se opuso a ello y expuso de forma clara en doce páginas que la cláusula arbitral no contenía ningún efecto en las relaciones internas de los vendedores. Sólo se aplica entre las partes de un contrato (el vendedor por un lado y el comprador por otro) y expone una serie de argumentos (convincente: emplazamiento del lugar de arbitraje en China, ¿afirmarían entonces el vendedor 1 de Stuttgart y el vendedor 2 de Saarbrücken la aplicación de la cláusula de arbitraje también en la relación interna?). Este tipo de cláusulas de arbitraje y su aplicabilidad serán examinadas y formuladas de manera precisa en el futuro.
