[value] => Hat eine Kapitalgesellschaft Ihren statutarischen Sitz (z.B. deutsche GmbH) oder den Ort ihrer effektiven Geschäftsleitung (z.B. spanische S.L., deren alleiniger Geschäftsführer in Deutschland lebt und arbeitet) in Deutschland, so unterliegen verdeckte Gewinnausschüttungen (vGA) sowohl auf Ebene der Gesellschaft als auch auf Ebene des Gesellschafters der Besteuerung in Deutschland.
Das Finanzgericht Berlin-Brandenburg hatte in einem jüngst veröffentlichten Verfahren des vorläufigen Rechtsschutzes (10 V 1044/17) zu entscheiden, ob eine vGA auf Ebene der Kapitalgesellschaft (§ 8 Abs. 3 Satz 2 KStG) und eine solche auf der Ebene des Gesellschafters (§ 20 Abs. 1 Nr. 1 Satz 2 EStG) einheitlich zu bewerten sind. Im Streitfall hatte eine GmbH ihrem Mehrheitsgesellschafter eine luxuriöse Stadtvilla vermietet und die Miete auf der Basis eines Sachverständigengutachtens in Höhe der ortsüblichen Vergleichsmiete vereinbart. Das Finanzamt ging demgegenüber bei einer späteren Prüfung davon aus, dass bei der Beurteilung der steuerlichen Angemessenheit der Mietbedingungen von einer Kostenmiete in Höhe von 6 % der Anschaffungs- und Herstellungskosten des Gebäudes zuzüglich der Anschaffungskosten für den Grund und Boden auszugehen sei und sah in der Differenz zwischen der höheren Kostenmiete und der ortsüblichen Vergleichsmiete eine vGA. Verfahrensrechtlich entfalte der Körperschaftssteuerbescheid für die Gesellschaft zwar keinerlei Bindung für die Festsetzung der Einkommensteuer beim begünstigten Gesellschafter, nach Auffassung des Gerichts gebiete jedoch eine widerspruchsfreie Anwendung des materiellen Steuerrechts, beim Gesellschafter den gleichen Betrag als vGA anzusetzen, der bei der Kapitalgesellschaft anzusetzen sei.
Die Frage sei in Rechtsprechung und Literatur jedoch nicht abschließend geklärt, da nach anderer Auffassung eine nicht in Geld bestehende vGA beim Gesellschafter nach § 8 Abs. 2 EStG mit dem üblichen Endpreis am Abgabeort anzusetzen sei, so dass wegen grundsätzlicher Bedeutung die Beschwerde zum Bundesfinanzhof zugelassen wurde (BFH VIII B 50/17).

[value] => Si una sociedad de capital tiene en Alemania su sede social (ej. una GmbH alemana) o su sede de dirección efectiva (ej. una S.L. española cuyo administrador único vive y trabaja en Alemania), los dividendos encubiertos, tanto a nivel de la sociedad, como a nivel del socio, están sujetos a imposición en Alemania.
El Juzgado de lo Fiscal de Berlín-Brandenburgo debía decidir en un procedimiento de medidas cautelares (10 V 1044/17) recién publicado, si los dividendos encubiertos a nivel de la sociedad (§ 8 (3) frase 2 de la LIS alemana, „KStG“) y a nivel del socio (§ 20 (1) núm. 1 frase 2 de la LIRPF alemana, „EStG“) debían valorarse de forma homogénea.
En este litigio, una GmbH había arrendado una villa de lujo urbana a su socio mayoritario y acordado una renta que se correspondía con el valor de mercado local. No así, en una inspección posterior, la Agencia Tributaria alemana consideró adecuado como arrendamiento a efectos fiscales la suma de los costes de adquisición y de construcción del inmueble, más los de adquisición del solar, más un 6% sobre todos los costos y consideró como dividendo encubierto la diferencia entre el valor del arrendamiento calculado en función de los costes más el márgen y el valor del arrendamiento calculado en función del precio de mercado local. A efectos de procedimiento, la liquidación del impuesto de sociedades no desplegaba ninguna obligación para la determinación del Impuesto sobre la Renta del socio; ahora según la opinión del Juzgado, una aplicación del derecho fiscal material libre de contradicciones supondría imputar al socio el mismo importe de dividendos encubiertos que a la sociedad.
Esta cuestión no se ha clarificado definitivamente por la jurisprudencia y la literatura, pues según otra opinión, un dividendo encubierto en mano del socio no consistente en dinero, de conformidad con el § 8 (2) EStG, debía imputarse por importe del precio final habitual en el lugar de entrega, siendo admitido a trámite por el Tribunal Federal Supremo de lo Fiscal por la importante repercusión de este recurso (BFH VIII B 50/17).
