[value] => Strafrechtliche Compliance Programme oder auf spanisch „programas de cumplimiento en materia penal“, die bis vor nicht allzu langer Zeit in unserer Rechtsordnung völlig unbekannt waren, werden heute häufig in der Rechtsprechung erwähnt, die sich daran gewöhnt hat, den englischen Begriff oder auch die unglückliche wörtliche Übersetzung ins Spanische zu verwenden.
Die spanischen Gerichte und insbesondere der spanische Oberste Gerichtshof betonen seit Inkrafttreten der LO 1/2015, vom 30. März immer wieder, dass strafrechtliche Compliance Programme zur Vermeidung von Straftaten in einem Unternehmen unentbehrlich sind. Das Urteil vom 28. Juni 2018 (Rekurs Nr. 2036/2017) geht sogar noch weiter und erachtet, dass die erwähnten Programme nicht nur zur Vermeidung von Straftaten der juristischen Person dienen, sondern auch dazu beitragen, andere Straftaten, die das Unternehmen, seine Gesellschafter oder Arbeitnehmer schädigen können. Auch erinnert das Urteil daran, dass Versicherungsunternehmen, die Haftungsdeckung anbieten (worunter auch die Zivilhaftung aufgrund von Straftaten fällt) in Zukunft vor Abschluss des Versicherungsvertrags durchaus den Nachweis fordern können, dass das Unternehmen über ein entsprechendes Compliance Programm verfügt. Das Urteil betont, dass ein Compliance Programm verschiedene Vorteile für ein Unternehmen darstellen kann, die sich nicht nur auf die Vermeidung oder Minderung der strafrechtlichen Haftung der juristischen Person beschränken.
Dieses und andere Urteile zeigen, dass unsere Gerichte die Corporate - Governance - und Compliancegrundsätze schnell aufgenommen haben, was vor einigen Jahren undenkbar gewesen wäre. Der Alltag zeigt jedoch, dass die meisten kleinen Unternehmen in Spanien keine Compliance Programme eingeführt haben und die vielfachen Vorteile dieser Programme ignorieren.

[value] => Los programas de compliance o de cumplimiento en materia penal, que hasta no hace mucho tiempo resultaban completamente extraños a nuestro ordenamiento jurídico, son hoy mención habitual de la doctrina jurisprudencial, que ya se ha acostumbrado a utilizar su denominación en inglés o su desafortunada traducción literal al español. Programas de compliance o de cumplimiento, desde la entrada en vigor de la LO 1/2015, de 30 de marzo, los tribunales de nuestro país y particularmente el Tribunal Supremo, insisten en que son el instrumento imprescindible para evitar la comisión de delitos en la empresa.
La Sentencia del Tribunal Supremo de 28 de junio de 2018 (Recurso nº 2036/2017), va más allá y considera que la existencia de estos programas, además de prevenir la comisión de delitos por parte de la persona jurídica, contribuye a evitar otros delitos que puedan perjudicar a la propia empresa o a sus socios y empleados. La sentencia también envía un “aviso a navegantes” al recordar que las aseguradoras que cubren la responsabilidad civil derivada de actos que perjudiquen a terceros (entre los que se incluyen evidentemente los derivados de la comisión de un delito) pueden perfectamente comenzar a exigir, antes de asegurar el riesgo, que las empresas dispongan de un programa de compliance. La sentencia enfatiza las ventajas de todo orden que la existencia de un programa de compliance puede aportar a la empresa, no limitadas al ámbito exclusivo de evitar o atenuar la responsabilidad penal de la persona jurídica.
Ésta y otras sentencias demuestran la rápida asimilación que nuestros tribunales han hecho de las teorías sobre el gobierno corporativo y compliance, algo que era totalmente impensable hace unos años. Esto no debe hacernos olvidar la realidad de que una gran mayoría de las pequeñas empresas españolas continúan sin adoptar programas de compliance e ignorando las ventajas de todo orden que estos sistemas de prevención de delitos les pueden reportar.
