[value] => Im April hat das spanische ICAC den Entwurf einer Entschliessung zur Darstellung von Finanzinstrumenten und anderen Rechnungslegungsaspekten im Zusammenhang mit den kaufmännischen Vorschriften für Kapitalgesellschaften veröffentlicht mit dem Ziel, im Einklang mit dem von der EU verabschiedeten Internationalen Rechnungslegungsstandard IAS 32 (Finanzinstrumente: Angaben und Darstellung) die Darstellungskriterien von Finanzinstrumenten (Aktien, Beteiligungen, Verpflichtungen usw.) in der Bilanz zu entwickeln. Darüber hinaus werden in dieser Entschliessung zahlreiche Auswirkungen der kaufmännischen Vorschriften für Kapitalgesellschaften auf die Rechnungslegung geklärt.
Diese Vorschrift fügt sich in die Strategie der Harmonisierung der spanischen Rechnungslegungsvorschriften mit den von der Europäischen Union übernommenen internationalen Rechnungslegungsstandards ein, um Unternehmen, ihren Abschlussprüfern sowie anderen Nutzern von Rechnungslegungsvorschriften eine angemessene und systematische Auslegung der sich aus den kaufmännischen Vorschriften für Kapitalgesellschaften abgeleiteten Rechnungslegungsaspekte zur Verfügung zu stellen.
Die Entschliessung des ICAC stellt die regulatorische Entwicklung der Kriterien für die Darstellung von Finanzinstrumenten dar und die Auswirkungen auf die Rechnungslegung u.a. der folgenden kaufmännischen Vorschriften:
- Kapitalzuführungen (Stammaktien, Aktien ohne Stimmrecht, Vorzugsaktien und besondere Aktien)
- Sonstige Einzahlungen von Gesellschaftern in das Eigenkapital oder für zukünftige Kapitalerhöhungen
- Geschäfte mit eigenen Aktien und Anteilen
- Ergebnisverwendung
- Kapitalerhöhung und -reduzierung
- Niessbrauchsrechte an Aktien
- Neuformulierung des Jahresabschlusses
- Wandelanleihen in ihren verschiedenen Formen
- Strukturelle Veränderungen von Kapitalgesellschaften, einschließlich Umwandlung und Sitzwechsel.
Es wird erwartet, dass die Entschliessung für die am 1. Januar 2019 beginnenden Geschäftsjahre angewendet werden wird.

Adicionalmente, en dicha resolución, se aclaran numerosas implicaciones contables de la regulación mercantil de las sociedades de capital.
Dicha norma se enmarca en la estrategia de armonización contable española con las normas internacionales de contabilidad adoptadas por la Unión Europea con la finalidad de poner a disposición de las empresas, sus auditores y otros usuarios de la normativa contable, una interpretación adecuada y sistemática de los aspectos contables derivados de la regulación mercantil de las sociedades de capital.
La Resolución del ICAC constituye el desarrollo reglamentario de los criterios de presentación de los instrumentos financieros y las implicaciones contables de la regulación mercantil en materia de:
- Aportaciones sociales al capital (acciones comunes, sin voto, con privilegio y especiales)
- Otras aportaciones de los socios a los fondos propios o a cuenta de futuras ampliaciones de capital
- Operaciones con acciones y participaciones propias
- Aplicación del resultado
- Aumento y reducción de capital
- Naturaleza del gasto financiero del dividendo preferente o mínimo
- Prestaciones accesorias
- Usufructo de acciones
- Cuentas en participación
- Reformulación de Cuentas Anuales
- Obligaciones convertibles o canjeables en acciones, en sus diversas modalidades
- Modificaciones estructurales de las sociedades mercantiles, incluida la transformación y el cambio de domicilio.
Está previsto que la resolución sea de aplicación a los ejercicios iniciados el 1 de enero de 2019.
