[value] => In der spanischen Wirtschaftsprüfung gibt es Unvereinbarkeiten, die durch eine Zusammensetzung eines allgemeinen Artikels zum Prinzip der Unabhängigkiet der Wirtschaftsprüfer und durch einen Artikel bezüglich der konkreten Inkompatibilitäten entstehen, welche aber die Steuerberatung nicht beinhalten (Artikel 14 und 16 der spanischen Wirtschaftsprüfungsordnung).
Der Oberste Gerichtshof Spaniens bestätigt in seinem Urteil des 28.02.2018, dass zwei verbundene Gesellschaften Dienstleistungen im Bereich der Wirtschaftsprüfung und der Steuerberatung dem gleichen Unternehmen leisten können, ohne dass dies die Unabhängigkeit der Wirtschaftsprüfer beeinträchtigt, da die Steuerberatung als solche nicht notwendigerweise bei der Erstellung der Buchhaltung beteiligt ist. Eine Behauptung über die Einbeziehung bei der Erstellung der Buchhaltung durch den Steuerberater und Zweifel über die dadurch entstandene Befangenheit des Wirtschaftsprüfers, müsste korrekt nachgewiesen werden.
Da das Gesetz kein ausdrückliches Verbot zu Dienstleistungen im Bereich Steuerberatung und Buchprüfung vorsieht, um die Inkompatibilitäten zwischen beiden Tätigkeitsbereichen zu bestimmen, müsste man die jeweiligen Umstände in jedem Fall prüfen. Die Gründe, zur Betrachtung der Steuerberatung als inkompatible Tätigkeit mit der Buchführung, wären die Gefahr der Selbstüberprüfung (d.h. die Gesellschaft würde eine Buchführung bewerten zu der sie bei der Vorbereitung beigetragen hätte), die übermäßige Abhängigkeit des Wirtschaftsprüfers gegenüber des Mandanten oder eine unverhältnismäßige Vergütung der Steuerberatung, d.h. als kontigente Vergütung für die Buchführung.
Im genannten Fall hat der Oberste Gerichtshof keine Umstände dieser Art feststellen können und den Beschluss des zuständigen Landgerichts aufgehoben. Die Vereinbarung, die den Wirtschaftsprüfer einer Gesellschaft ernannte, der zur gleichen Gesellschaftsgruppe angehörte, wie diejenige die Dienstleitungen für die Steuerberatung erteilte, erklärte der Oberste Gerichtshof als rechtmäßig.

[value] => El régimen español de auditoría de cuentas prevé un sistema mixto de incompatibilidades, que combina un artículo general que recoge el principio de independencia de los auditores, y un artículo que describe los supuestos concretos de incompatibilidad, entre los que no se encuentra la asesoría fiscal (artículos 14 y 16 de la actual Ley de Auditoría de Cuentas).
El Tribunal Supremo afirma en su sentencia de 28 de febrero de 2018 que es compatible que dos sociedades vinculadas presten servicios de auditoría y de asesoría fiscal a la misma empresa, sin que ello afecte a la independencia del auditor, ya que asesorar fiscalmente no implica necesariamente participar en la elaboración de los estados contables. La consecuencia sería que, si alguien alega la existencia de un alto grado de implicación en la elaboración de la contabilidad por parte del asesor fiscal, que cuestione su imparcialidad, deberá probarlo adecuadamente.
Como la actual normativa no contiene una prohibición expresa de la prestación de servicios de asesoría fiscal y de auditoría de cuentas, para determinar la incompatibilidad entre ambas actividades habría que analizar las circunstancias particulares de cada caso. Las razones que podrían justificar la consideración de la asesoría fiscal como una actividad incompatible con la auditoría de cuentas serían el peligro de auto-revisión (es decir, que la empresa auditora evalúe unas cuentas que ha ayudado a preparar, menoscabando el principio de escepticismo profesional), la dependencia excesiva del auditor respecto del cliente o la remuneración desproporcionada por la asesoría fiscal como retribución contingente de la auditoría.
En este caso, el Tribunal Supremo no aprecia ninguna de tales circunstancias, y anula la decisión de la Audiencia Provincial, declarando ajustado a derecho el acuerdo que designaba como auditor a una sociedad del mismo grupo de la sociedad que le prestó servicios de asesoría fiscal.
