[value] => Grundsätzlich haften nach Artikel 367 des Kapitalgesellschaftsgesetzes Geschäftsführer von Kapitalgesellschaften, die den gesetzlichen Pflichten zur Förderung der Auflösung nicht nachkommen (u.a. aufgrund von Verlusten, die das Nettovermögen auf weniger als die Hälfte des Gesellschaftskapitals reduziert haben) für die Gesellschaftsschulden, die während ihrer Amtszeit und seit dem Auftreten des Auflösungsgrundes der Gesellschaft entstanden sind.
Jedoch konnte der Gläubiger, nach einer verbreiteten Lehrmeinung und einigen Urteilen des Obersten Gerichtshofs, die Begleichung der Verbindlichkeiten nicht von dem Geschäftsführer fordern, wenn ihm bei Vertragsabschluss bekannt war, dass sich das Unternehmen bereits in einem Auflösungsgrund befand. In seinem jüngst ergangenen Urteil vom 11. April 2018 hat der Oberste Gerichtshof den bereits mit Urteil vom 4. Dezember 2013 eingeleiteten Richtungswechsel bzgl. seiner Meinung bestätigt.
Um die Haftung zu umgehen, ist nicht allein die Kenntnis des Gläubigers der Schuldnerinsolvenz ausreichend, vielmehr bedarf es des Beweises, dass „der klagende Gläubiger zum Zeitpunkt der Darlehensgewährung an die Gesellschaft nicht nur Kenntnis der Situation, sondern vor allem die Kontrolle über das Schuldnerunternehmen hatte, wodurch das aufgrund der Insolvenz eingegangene Risiko offensichtlich wurde. Dies sei beispielsweise dann der Fall, wenn es sich bei dem Gläubiger um einen dominanten bzw. maßgeblichen Gesellschafter des Schuldnerunternehmens handelt.“

[value] => Es sabido que con arreglo al artículo 367 de la Ley de Sociedades de Capital los administradores de sociedades que incumplan los deberes legales de promoción de la disolución (entre otras, pérdidas que han reducido el patrimonio neto contable a una cifra inferior a la mitad del capital social) responden de las deudas sociales contraídas por ésta mientras estuvieron en el cargo y a contar desde que la sociedad incurrió en causa de disolución.
Sin embargo, conforme a una opinión doctrinal muy extendida y según algunas sentencias del Tribunal Supremo, el acreedor no podía reclamar el pago de la deuda al administrador si en el momento de contratar conocía que la sociedad estaba incursa en causa de disolución. Pues bien, el Tribunal Supremo en su reciente Sentencia de 11 de abril de 2018 acaba de confirmar el cambio en esta doctrina jurisprudencial que ya inició con la STS de 4 de diciembre de 2013.
Para eludir la responsabilidad en estos cosas no basta con que el acreedor conociera la insolvencia del deudor, sino que es necesario acreditar que “el acreedor demandante, al conceder crédito a la sociedad, gozaba no sólo de una situación de conocimiento, sino, sobre todo, de control de la sociedad deudora que ponía en evidencia el riesgo que asumía de la insolvencia de esta. Lo que concurre, por ejemplo, cuando el acreedor es un socio dominante o relevante de la sociedad deudora.”
