[value] => Das neu gefasste Geldwäschegesetz (GWG) hat zum 01.10.2017 ein sog. Transparenzregister eingeführt. Ziel des Transparenzregisters ist es, den „wirtschaftlich Berechtigten“ bestimmter Vereinigungen zu erfassen, um so Geldwäsche und Terrorfinanzierung zu verhindern. Vereinigungen i. S. d. Gesetzes sind Kapitalgesellschaften, Personengesellschaften und sonstige Rechtsgestaltungen (z. B. Trusts). Wirtschaftlich Berechtigter i. S. d. Gesetzes ist immer die natürliche (!) Person, die die Vereinigung kontrolliert – im Regelfall dadurch, dass sie mindestens 25 Prozent der Anteile hält. Mitteilungspflichtig ist die Vereinigung selbst (handelnd durch ihren Geschäftsführer o. ä.). Sollte sich die Beteiligung (der natürlichen Person!) direkt aus anderen deutschen Registern, beispielsweise dem Handelsregister, ergeben, gilt die Mitteilungspflicht als erfüllt.
Erfasst werden soll aber gerade auch die mittelbare Kontrolle, auch bei ausländischen wirtschaftlichen Berechtigten. Hält beispielsweise eine spanische S.L. 100 Prozent der Anteile an einer deutschen GmbH, würde sie ihrer Mitteilungspflicht an das Transparenzregister nicht dadurch genügen, dass sie dies mitteilt. Tatsächlich müsste sie die natürliche(n) Person(en) mitteilen, die mindestens 25 Prozent der Anteile an ihr, also der Muttergesellschaft, halten. Kommt die Vereinigung der Mitteilungspflicht nicht nach, droht ihr ein Bußgeld. Dieses kann selbst bei leichtfertigen Verstößen bis zu EUR 100.000,00 betragen. Bei schwerwiegenderen Verstößen drohen sogar deutlich höhere Strafen.
Einsehen kann das Transparenzregister unter www.transparenzregister. de grundsätzlich jeder, allerdings nur bei „nachvollziehbarem Vorbringen“ eines „berechtigten Interesses“. So sollen die registrierten Personen bspw. vor Straftaten wie Entführungen und Erpressung geschützt werden. De Gesetzesmaterialien deuten an, dass ein berechtigtes Interesse bei journalistischer Recherche oder der Arbeit von Nichtregierungsorganisationen im Bereich der Geldwäschebekämpfung bestehen kann.

[value] => El nuevo Texto Refundido de la Ley de Lavado de Dinero alemana (GWG) ha introducido el denominado Registro de Transparencia a partir del 01/10/2017. Éste tiene como objetivo recabar la identidad de los derechohabientes económicos de determinadas asociaciones para prevenir el lavado de dinero y la financiación del terrorismo. Asociaciones son, en virtud de dicha ley, sociedades de capital, sociedades personalistas y otras configuraciones jurídicas (p. ej. fondos fiduciarios). El derechohabiente económico es, según esta ley, la persona física que controla la asociación, que por lo general tiene como mínimo un 25 % de las acciones. La asociación es quien tiene el deber de notificación (actuando a través de sus administradores o similares). Si la participación (de la persona física) se desprende de otros registros, como p. ej. del Registro Mercantil, se considera cumplido el deber de notificación.
Deberá ser también objeto de registro el control indirecto, incluso para los derechohabientes económicos extranjeros. Así, si p. ej. una S.L. española tiene el 100 % de las participaciones de una GmbH alemana, no se considerará cumplido su deber de notificación si sólo facilita esta información. Realmente, tendría que comunicar los datos de la persona física que posee al menos un 25% de las participaciones de la empresa matriz. En el caso de que la asociación no cumpla con su deber de notificación se le impondría una multa. Ésta puede ascender en caso de incumplimientos imprudentes hasta los 100.000,00 €. Para las infracciones más graves se impondrán multas de cuantía más elevada.
Se puede consultar la información del Registro de Transparencia en su web www.transparenzregister.de, pero siempre bajo “argumentos comprensibles” que acrediten la existencia de un “interés legítimo”. Así, las personas registradas deben estar protegidas contra actos criminales como chantajes o secuestros. La legislación indica que puede haber un interés legítimo en la investigación periodística o en el trabajo de las organizaciones no gubernamentales en la lucha contra el lavado de dinero.
