[value] => In der Hauptversammlung einer spanischen GmbH stimmten zwei Partner (Inhaber von zwei Drittel des Gesellschaftskapitals) einstimmig für eine Kapitalerhöhung, wobei sie einem nicht an der Versammlung teilnehmenden Gesellschafter neue Gesellschaftsanteile „als Ausgleich“ für die Tilgung des Darlehens gegen die Gesellschaft zuwiesen. Das Handelsregister lehnte die Eintragung aufgrund der mangelnden Zustimmung des angeblich beitragenden Gesellschafters ab.
Mit Beschluss vom 12. September 2017 wies die Generaldirektion für Register und Notariat die seitens der Gesellschaft eingereichte Beschwerde mit folgender Begründung zurück:
(i) Die Übernahme von Anteilen stellt ein Rechtsgeschäft zwischen dem Gläubiger und der Gesellschaft dar, das gem. Artikel 1261 des spanischen BGBs die ausdrückliche bzw. stillschweigende Zustimmung des Einlegers erfordert;
(ii) Für die Übertragung von Vermögenswerten auf die Gesellschaft ist der Wille des einbringenden Gesellschafters erforderlich. Es ist nicht möglich, einen Vermögenswert bzw. ein Recht ohne die Zustimmung des Eigentümers desselben auf die Gesellschaft zu übertragen. Diese Regeln gelten ebenfalls für die Kapitalisierung eines Darlehens, da die „Umwandlung“ des Darlehens im rechtlichen Sinne dazu führt, dass ein Gesellschaftsgläubiger seine Rechtsstellung ändert und Gesellschafter des Schuldnerunternehmens wird (bzw. seine Beteiligung am Gesellschaftskapital erhöht); und
(iii) Bei der Übernahme von Gesellschaftsanteilen handelt es sich um eine individuelle Handlung des Gesellschafters, mit der das Rechtsgeschäft der Einlage vollendet und somit die Zahlung verpflichtend wird, so dass ohne Zeichnung seitens des Gläubigergesellschafters keine Kapitalerhöhung möglich ist.

[value] => En la junta general de una sociedad limitada, dos socios (titulares de dos tercios del capital social) acordaron unánimemente aumentar el capital social, atribuyendo a una socia (que no asistió a la reunión) nuevas participaciones “en compensación” de un crédito que dicha socia ostentaba contra la sociedad. La registradora mercantil denegó la inscripción por no constar el consentimiento de la socia pretendidamente aportante.
Mediante Resolución de 12 de septiembre de 2017, la Dirección General de los Registros y del Notariado desestimó el recurso interpuesto por la sociedad, argumentando lo siguiente:
(i) La asunción de participaciones constituye un negocio jurídico entre el acreedor y la sociedad, exigiéndose conforme al artículo 1261 del Código Civil, el consentimiento, expreso o tácito, del aportante,
(ii) Para el traspaso patrimonial a la sociedad se requiere la voluntad del socio de realizar la aportación. No es posible que se aporte un bien o derecho a la sociedad sin consentirlo el titular de dicho bien o derecho. Estas reglas resultan igualmente aplicables en caso de compensación de créditos, pues desde el punto de vista jurídico la “conversión” de un crédito en capital supone que un acreedor de la sociedad va a mudar su posición jurídica, deviniendo socio de la compañía deudora (o, en su caso, aumentando su participación en el capital social); y
(iii) La asunción de las participaciones es un acto individual del socio con el que se perfecciona el negocio jurídico de aportación y con el que se obliga a su desembolso, de modo que no puede haber aumento si no existe acto de suscripción por el socio acreedor.
