[value] => Die Einrichtung eines Programms zur Vermeidung von strafrechtlichen Risiken erfordert die Ernennung eines Compliance Beauftragten. Der Compliance Beauftragte, auch Compliance Officer genannt, ist nach Par. 31.bis des spanischen Strafgesetzbuches ein Organ der Gesellschaft. Jedoch kann die Gesellschaft für die Ausübung dieses Amtes sowohl einen Angestellten der Gesellschaft als auch eine nicht der Gesellschaft angehörende Person wählen.
Der Compliance Officer hat die Aufgabe die Erfüllung des Compliance Programms zu beaufsichtigen. Folglich macht es Sinn, wenn der Compliance Beauftragte der Gesellschaft angehört. Mit Ausnahme der kleinen Unternehmen, wo das Amt des Compliance Officers vom Geschäftsführer ausgeübt werden kann, wird dieses Amt in der Regel von leitenden Angestellten in verantwortungsvollen Positionen übernommen. Oft ist es aber auch schwierig, eine geeignete Person innerhalb der Firma zu finden, da eine solche Amtsübernahme auch eine entsprechende Ausbildung voraussetzt. In diesen Fällen bietet sich die Möglichkeit an, einen externen Compliance Officer zu beauftragen.
Der externe Compliance Beauftragte nimmt seine Funktion wahr, indem er regelmäßige Berichte der verschiedenen Unternehmensabteilungen erhält, das Whistleblowing überwacht, Zwischenfälle registriert und bearbeitet und Mitarbeiter des Unternehmens schult.
Die Vorteile eines externen Compliance Officers sind eindeutig:
- Professionalität und spezifische Ausbildung.
- Unabhängigkeit und Objektivität bei der Aufsichtsführung.
- Schutz der übermittelten Information durch Berufsgeheimnis und Verschwiegenheitspflicht.
- Existenz einer Berufshaftpflichtversicherung.
- Ersparnis der Ausbildungskosten des Compliance Beauftragten.
Aufgrund der genannten Vorteile scheint die Verallgemeinerung des externen Compliance Beauftragten nur eine Frage der Zeit zu sein.

El Responsable de Cumplimiento o Compliance Officer, así lo prevé el artículo 31 bis del Código Penal, es un órgano interno de la sociedad. El Compliance Officer tiene la función de supervisar el cumplimiento del modelo de prevención de riesgos. Por lo tanto, la opción más evidente es que dicho cargo lo desempeñe alguien que pertenezca a la empresa, que la conocerá bien. Como quiera que, salvo en empresas de reducida dimensión, este cargo no lo puede desempeñar el administrador, normalmente lo asumirán empleados que ya tienen importantes responsabilidades, a las que sumarán la de Compliance Officer. Esto hace que para muchas empresas sea complicado encontrar la persona adecuada que esté dispuesta a asumir esta función. A ello se añade la necesaria formación que requiere el puesto. La otra opción es que las funciones del Compliance Officer sean desempeñadas por un profesional externo.
El Compliance Officer externo supervisará el cumplimiento del modelo de prevención a través de un sistema periódico de reporte con los distintos departamentos de la empresa, la gestión del canal de denuncias, la revisión de incidencias y las actividades de formación de empleados.
Las ventajas del Compliance Officer externo son claras:
- Profesionalización, formación específica.
- Mayor independencia y objetividad en el control.
- Menor condicionamiento por las relaciones personales y el contexto empresarial.
- Protección de la información por el secreto profesional y confidencialidad.
- Existencia de un seguro de responsabilidad civil profesional.
- Ahorro del coste de formación del Compliance Officer.
Por sus ventajas evidentes, parece que la generalización del Compliance Officer externo será tan sólo cuestión de tiempo.
