[value] => Kürzlich hat der EuGH in einer lang erwarteten Entscheidung etwas mehr Licht in das Dunkel des selektiven Vertriebs im Einzelhandel gebracht. In der Rechtssache C-230/16 ging es um die Frage, ob der Anbieter von Luxuswaren seinen autorisierten Händlern untersagen kann, Vertragsprodukte im Internet über Drittplattformen - wie zum Beispiel amazon.de - zu vertreiben. Das Oberlandesgericht Frankfurt hatte den EuGH wegen der Auslegung eines Tatbestandsmerkmales des europäischen Wettbewerbsrechts angerufen. Es ist anerkannt, dass der Anbieter von Luxuswaren seinen Händlern vorschreiben kann, wie sie die Produkte in einem stationären Geschäft oder auf der eigenen Website zu präsentieren haben (Stichwort: “elektronisches Schaufenster”). Wenn der Händler aber eine Drittplattform im Internet benutzt, hat er keinen Einfluss darauf, wie die Produkte dargeboten werden. Der Anbieter der Ware muss in solchen Fällen befürchten, dass seine Produkte in einer nicht angemessenen Weise präsentiert werden und das Luxusimage dadurch gefährdet wird.
Der EuGH hat nun entschieden, dass bei Luxusgütern grundsätzlich nicht nur der selektive Vertrieb zulässig ist, sondern auch ein vertragliches Verbot, die Produkte über Drittplattformen im Internet zu vertreiben. Dies gilt jedenfalls dann, wenn ein solches Verbot tatsächlich eine geeignete Maßnahme zur Aufrechterhaltung des Luxuscharakters eines Produkts ist und sie auch erforderlich ist (Stichwort: “Verhältnismäßigkeit”). Außerdem muss das Verbot vom Anbieter einheitlich ohne Diskriminierung einzelner Händler angewendet werden.
Auch wenn die erwähnte EuGH-Entscheidung grundsätzlich zu begrüßen ist, bleiben in der Praxis noch erhebliche Auslegungsspielräume, angefangen bei der Frage, was überhaupt unter einem “Luxusprodukt“ zu verstehen ist. Derartige Vertragsklauseln müssen zudem mit dem Gesamtkonzept des selektiven Vertriebs des Anbieters im Einklang stehen. Dies erfordert eine präzise Formulierung, die von Fall zu Fall sorgfältig durchdacht werden muss.

En el asunto C-230/16 se planteó la cuestión de si el vendedor de productos de lujo puede prohibir a sus distribuidores autorizados la venta de sus productos por internet a través de plataformas de terceros - como por ejemplo, amazon.de -. El Tribunal Superior Regional Civil y Penal de Fráncfort planteó al TJUE la interpretación de uno de los elementos constitutivos de la legislación europea sobre competencia. Se admite el hecho de que el vendedor de los productos de lujo pueda imponer a sus distribuidores la manera en la que éstos deben mostrar sus productos en tiendas físicas o en su propia web (palabra clave: “escaparate electrónico”). Sin embargo, si el distribuidor usa una plataforma de terceros en Internet, no tiene control sobre cómo se presentan los productos. En algunos casos, el vendedor teme que sus productos no sean mostrados de una manera adecuada y que su imagen de lujo se vea amenazada.
EL TJUE ha señalado que en lo referente a los artículos de lujo, no sólo se permite la distribución selectiva, sino también la inclusión de una prohibición contractual de la venta de esos productos a través de plataformas de terceros. Esto se aplica especialmente si tal prohibición es adecuada para preservar la imagen de lujo de dichos productos y si resulta necesaria para alcanzar dicho objetivo (palabra clave: “proporcionalidad”). Además, esta prohibición debe aplicarse sin discriminación a todos los distribuidores autorizados.
A pesar de que la esperada sentencia del TJUE es bienvenida, quedan aún en la práctica amplios márgenes interpretativos, empezando por la cuestión de qué se entiende por “producto de lujo”. Además, tales cláusulas contractuales deben ser compatibles con el concepto general de distribución selectiva. Esto exige una formulación precisa que deberá ser cuidadosamente estudiada en cada caso.
