[value] => Mit Beschluss vom 27. November 2017 hat die spanische Generaldirektion für Register und Notariat (DRGN) die Entscheidung des zentralen Handelsregisters über die Ablehnung der Reservierung eines Firmennamens aufgehoben. Das zentrale Handelsregister begründete seine Entscheidung mit der wesentlichen Identität des einzutragenden Namens („Tu Gestoría en Línea“) zu einer bereits eingetragenen Bezeichnung („Gestión de Líneas, Sociedad Limitada“).
In ihrem Beschluss legt die DRGN dar, dass weder aus grammatikalischer noch aus phonetischer Sicht –i.S.v. Art. 408 Handelsregisterverordnung (HRVO)– eine hinreichende Ähnlichkeit zwischen den beiden Firmennamen bestehe, die zu einer Verwechslung führen könne.
Im Rahmen einer solchen „Identitätsprüfung“ ist Folgendes zu berücksichtigen:
(i) Zum einen das Prinzip der Wahlfreiheit des Firmennamens und, zum anderen, das Prinzip der Neuartigkeit, dessen Ziel es ist, dass sich jede neue Gesellschaft namentlich von bereits eingetragenen Gesellschaften unterscheidet.
(ii) Im Hinblick auf Art. 408 HRVO ist darauf hinzuweisen, dass die Identität der Firmennamen nicht nur den Fall der vollständigen und absoluten Übereinstimmung umfasst, sondern auch den der sogenannten „Quasiidentität“. Der Identitätsbegriff ist demzufolge gemäß Sinn und Zweck der Norm auszulegen, um eine Verwechslung der Bezeichnungen der Unternehmen zu vermeiden.
(iii) In Anknüpfung an das Vorangegangene liegt eine wesentliche Identität oder „Quasiidentität“ dann vor, wenn aufgrund der sachlichen, semantischen oder phonetischen Nähe zu einer eingetragenen Bezeichnung die Gefahr einer Verwechslung besteht.
(iv) Bei der „Identitätsprüfung“ handelt es sich -vorbehaltlich der Umstände des Einzelfalles- um eine faktische Kontrolle, sodass eine etwaige Ergänzung um ein allgemeines, unbestimmtes Wort nicht immer ausreicht, um die bestehende Identität aufzulösen.

El Registro Mercantil Central justificó su decisión en la existencia de una identidad sustantiva entre la denominación social solicitada (“Tu Gestoría en Línea”) y de una denominación previamente registrada (“Gestión de Líneas, Sociedad Limitada”).
La DGRN establece en su resolución que, desde un punto de vista gramatical y fonético – en el sentido del artículo 408 del Reglamento del Registro Mercantil (RRM) –, no existe una similitud suficiente que pueda causar confusión entre ambas denominaciones sociales. En el marco de tal “verificación de identidad”, se debe tener en cuenta lo siguiente:
(i) El principio de la libertad en la elección de la denominación social y, por otro lado, el principio de novedad, cuyo objetivo es que cada nueva sociedad tenga un nombre distinto al de las demás sociedades existentes.
(ii) En relación con el artículo 408 RRM, debe señalarse que la identidad de denominaciones no solo abarca el supuesto de coincidencia total y absoluta, sino también el de la llamada “cuasi identidad”. Debe, por tanto, interpretarse el concepto de identidad a partir de la finalidad de la norma que la prohíbe, que consiste en evitar la confusión en la denominación de las compañías mercantiles.
(iii) Siguiendo con lo que se ha dicho anteriormente, existe una identidad sustancial o “cuasi identidad” cuando hay un riesgo de confusión entre la denominación que se pretende inscribir y otra preexistente, debido a la aproximación objetiva, semántica o fonética entre ambas.
(iv) La “verificación de identidad” es una cuestión fáctica, sometida a las circunstancias de cada caso, de modo que la incorporación de términos indefinidos o genéricos no siempre es suficiente para disolver la identidad existente.
