[value] => In der Januarausgabe des AHK-Newsletters haben wir die Möglichkeit bzw. gar Notwendigkeit der Ergreifung von Maßnahmen des einstweiligen Rechtsschutzes im Zusammenhang mit Streitigkeiten zwischen Gesellschaftern einer Personen- oder Kapitalgesellschaft erläutert. Während wir dort auf die Voraussetzungen des Erlasses einer einstweiligen Verfügung eingegangen sind, sollen an dieser Stelle praxisrelevante Fallbeispiele ergänzt werden.
Oftmals wird hier der Fall der Verhinderung einer Gesellschafterversammlung genannt. Auch wenn eine solche Verhinderung obergerichtlich nicht gänzlich ausgeschlossen ist, sind die Voraussetzungen hierfür äußerst hoch. Aussicht auf Erfolg wird in diesen Fällen nur dann bestehen, wenn die gesellschaftsvertraglichen oder gesetzlichen Formvorschriften für die Einberufung einer Gesellschafterversammlung offensichtlich nicht eingehalten worden sind.
Ebenso schwierig zeigt sich die Beantragung einer einstweiligen Verfügung, um einem Mitgesellschafter zu verbieten, in einer bestimmten Weise abzustimmen. Das Stimmrecht gehört zu den fundamentalen Gesellschafterrechten und kann deshalb nur in absoluten Ausnahmefällen eingeschränkt werden. Erfolgsversprechender ist hingegen ein Antrag auf Erlass einer einstweiligen Verfügung bei unrechtmäßiger Ergänzung der Tagesordnung.
Gleiches gilt für die Unterbindung des Vollzugs von einmal gefassten Gesellschafterbeschlüssen. Ist etwa die Eintragung im Handelsregister konstitutiv für eine Rechtsänderung (z.B. bei der Kapitalerhöhung), so kann versucht werden, die Registereintragung zu verhindern. Hierdurch wird regelmäßig dem Gebot des geringstmöglichen Eingriffs entsprochen. Ein wichtiger Anwendungsfall ist auch die Verhinderung der Einreichung einer neuen Gesellschafterliste zum Handelsregister nach erklärter Einziehung von Geschäftsanteilen. Denn nach beschlossener Einziehung sowie Einreichung der entsprechend geänderten Gesellschafterliste hat sich die Rechtsposition des ausgeschlossenen Gesellschafters erheblich verschlechtert.

[value] => En nuestra contribución de enero reflexionábamos acerca de la posibilidad e incluso la necesidad de recurrir al uso de medidas cautelares para facilitar la solución de controversias entre socios de sociedades personalistas o de capital. Si bien nos concentrábamos en aquella contribución en las precondiciones necesarias para dictar medidas cautelares, nos dedicaremos ahora a completar estos conceptos mediante la aportación de ejemplos prácticos.
Uno de los casos frecuentes lo constituye la intención del socio de impedir la celebración de una junta general. Si bien a nivel jurisdiccional no se puede descartar completamente el reconocimiento de tal impedimento, los requisitos para ello son muy exigentes. En efecto, sólo podrá preverse el éxito en caso de clara violación de los requisitos de forma y plazos para convocar una junta general.
Igualmente difícil resulta solicitar medidas cautelares con el fin de evitar que un socio pueda votar, ya sea en un sentido u otro. El derecho de voto constituye uno de los derechos fundamentales de los socios y como tal sólo puede limitarse en circunstancias muy excepcionales. Mejores perspectivas de éxito, sin embargo, tendría la solicitud de medidas cautelares por modificación indebida del orden del día de la junta ya convocada o por impedir la ejecución de acuerdos sociales adoptados. Por ejemplo, puede intentar impedirse la inscripción en el Registro Mercantil de una modificación estatutaria como sería un aumento de capital. De tal forma se suele cumplir con el principio de la menor intervención posible de una medida cautelar.
Otro caso descriptivo lo constituiría el intento de prevenir la comunicación al Registro Mercantil de una nueva lista de socios tras haberse excluido a un socio mediante acuerdo social, ya que la presentación de la correspondiente lista de socios modificada en el Registro perjudicaría la posición del socio excluido de forma considerable.
