[value] => Die spanische Rechtsordnung verleiht den Kapitalgesellschaften eine eigene und unabhängige Rechtspersönlichkeit gegenüber der ihrer Gesellschafter. Infolge dessen können die Gläubiger einer Gesellschaft sich weder gegen die Gesellschafter noch gegen Gesellschaften derselben Unternehmensgruppe wenden, abgesehen vom Ausnahmefall bei dem die Lehre vom Durchgriff angewandt wird. Diese Lehre ist eine Entwicklung der Rechtsprechung bei der die Unabhängigkeit zwischen dem Vermögen einer juristischen Person und dem ihrer Gesellschafter nicht beachtet wird, indem Handlungen dieser juristischen Person den Gesellschaftern zugeschrieben werden bzw. durch die Haftungserstreckung der von juristischen Personen ausgeführten Handlungen auf dessen Gesellschafter.
Im Urteil vom 30. Januar 2018 äußert sich erneut der Oberste Gerichtshof Spaniens über die Anwendung dieser Lehre und erinnert daran, dass diese zum Schutz Dritter dient, aber nur soweit dies unbedingt erforderlich ist, um sowohl den Rechtsschutz zu garantieren als auch einen Rechtsmissbrauch zu verhindern. Das Urteil entschied über eine Rechtsbeschwerde, welche ursprünglich auf eine Schadenersatzklage gegen zwei Aktiengesesellschaften derselben Unternehmensgruppe (der Bauträger und das Bauunternehmen) aufgrund von Bauausführungsmängel durch die Eigentümergemeinschaft zurückführt. Beim betroffenen Bau, der von Anfang an bestimmte Mängel vorwies, wurde durch den Bauträger kein Einspruch bzw. keine Beschwerde eingelegt und somit mussten die Wohnungeigentümer die Mängel rügen. Der Oberste Gerichtshof wendet letztendlich die Lehre vom Durchgriff an und erstreckt die vertragliche Haftung auf das Bauunternehmen angesichts der einzelnen Eigentümer aus dem zugrundeliegenden Vertragsverhältnis zwischen dem Bauträger und den Erwerbern.

Como consecuencia, los acreedores de una sociedad no pueden dirigirse contra sus socios ni contra las otras sociedades pertenecientes al mismo grupo, salvo en los supuestos excepcionales que conducen a aplicar la doctrina del levantamiento del velo. Esta doctrina es una construcción jurisprudencial que ignora la separación entre el patrimonio de la persona jurídica y el de sus socios, para imputar a los socios conductas realizadas por la persona jurídica o para extender a los socios la responsabilidad derivada de actos realizados por la persona jurídica.
En la sentencia dictada el 30 de enero de 2018, el Tribunal Supremo vuelve a pronunciarse sobre la aplicación de dicha doctrina, recordando que ésta sirve para proteger a terceros, pero siempre en la medida de lo estrictamente necesario para garantizar la seguridad jurídica y evitar abusos de derecho. La sentencia resuelve sobre un recurso de casación que tiene su origen en una demanda por responsabilidad civil por vicios en la construcción interpuesta por una comunidad de propietarios contra dos sociedades anónimas: la promotora y la constructora, pertenecientes ambas al mismo grupo. La obra en cuestión, que desde el principio presentaba ciertos defectos de construcción, fue recibida por la promotora sin ninguna reclamación ni queja, trasladándose la labor de reclamar por vicios a los propietarios de las viviendas. El Tribunal Supremo termina aplicando la doctrina de levantamiento del velo extendiendo a la sociedad constructora la responsabilidad contractual frente a los propietarios individuales derivada de la relación entre la sociedad promotora y los adquirentes.
