[value] => Zahlt eine deutsche Kapitalgesellschaft an ihre spanischen Gesellschafter eine Dividende, so hat sie nach innerstaatlichem Recht von der beschlossenen Dividende eine Quellensteuer in Höhe von 25 % zuzüglich 5,5 % Solidaritätszuschlag, insgesamt also 26,375 %, einzubehalten und für Rechnung des Gesellschafters an das für sie zuständige Finanzamt abzuführen. Weist der Gesellschafter nach, dass er im Sinne von Art. 4 des DBA in Spanien steuerlich ansässig ist, so kann der Quellensteuerabzug auf Antrag auf die in Art. 10 Abs. 2 DBA genannten Steuersätze reduziert werden, unter den Voraussetzungen der in deutsches Recht transformierten Regelungen der sog. Mutter-Tochter-Richtlinie besteht ein Anspruch auf Reduktion auf EUR 0,00. Verfahrensrechtlich erfolgt diese Reduktion durch nachträgliche Erstattung auf Antrag durch einen sog. Freistellungsbescheid. Voraussetzung hierfür ist, dass der die Dividende empfangende Gesellschafter im Zeitpunkt des Gewinnverteilungsbeschlusses mit mindestens 10 % an der ausschüttenden Gesellschaft beteiligt war, die Beteiligung nachweislich ununterbrochen zwölf Monate besteht und Mutter- sowie Tochtergesellschaften und Kapitalgesellschaften der durch die beteiligten EU-Mitgliedstaaten bestimmten Rechtsformen sind.
In einem jüngst veröffentlichten Urteil vom 13.09.2017 hat das Finanzgericht Köln (2 K 2933/15) entschieden, dass unter den genannten Voraussetzungen auch eine ausländische Kapitalgesellschaft, die nicht direkt, sondern mittelbar über ein als Gesellschaft bürgerlichen Rechts des deutschen Rechts organisiertes Konsortium an einer inländischen Kapitalgesellschaft beteiligt ist, Anspruch auf vollständige Freistellung von der Quellensteuer haben kann. Das Konsortium sei rein vermögensverwaltend tätig gewesen, so dass die Anteile an der deutschen Tochtergesellschaft der ausländischen Muttergesellschaft nach § 39 Abs. 2 AO für steuerliche Zwecke anteilig zuzurechnen seien. Die Richtigkeit dieser Sichtweise wird nun der Bundesfinanzhof in dem anhängigen Revisionsverfahren zu prüfen haben (BFH I R 77/17).

[value] => Si una sociedad de capital alemana paga dividendos a sus socios españoles, deberá retener un 25 % de IRPF alemán y un 5,5 % de recargo de solidaridad, en total un 26,375 %, del dividendo acordado e ingresarlo por cuenta de cada socio a Hacienda alemana. Si el socio acredita que es residente fiscal en España según el art. 4 CDI puede solicitar la reducción de la retención a los tipos impositivos mencionados en el art. 10 (2) del CDI, y en caso de que se dieran los requisitos de la denominada Directiva Matriz Filial transformadas al derecho alemán, se tiene derecho a reducir el importe de las retenciones a EUR 0,00. La reducción se llevará a cabo por medio de un reembolso posterior si la misma se solicita a través de la obtención del llamado certificado de exención. Para ello es requisito que el socio que recibe el dividendo tuviera en el momento de la resolución de distribución una participación mínima del 10 % en la sociedad que distribuye los dividendos, que la participación exista ininterrumpidamente durante doce meses de forma demostrable y que la sociedad matriz y la filial tengan determinadas formas jurídicas de sociedades de capital determinadas por los diferentes Estados de la UE.
En una sentencia del 13/09/2017 recién publicada decidió el Tribunal de lo Fiscal de Colonia (2 K 2933/15) que bajo las mismas condiciones también se consideraba que una sociedad de capital extranjera que no participase directamente en una sociedad de capital en Alemania, sino indirectamente por medio de un consorcio organizado como una sociedad civil del derecho alemán, que también puede tener derecho a la exención total de la retención en la fuente. El consorcio se dedicaba únicamente a la administración de patrimonio, de modo que las participaciones en la sociedad filial alemana fiscalmente debían atribuirse proporcionalmente a la sociedad matriz extranjera en conformidad con el § 39 (2) de la LGT alemana. El Tribunal Federal Supremo de lo Fiscal comprobará la certeza de este punto de vista en un procedimiento de revisión (BFH I R 77/17).
