[value] => Am 9. März 2018 ist das neue spanische Gesetz über das öffentliche Auftragswesen (Ley 2/2017) in Kraft getreten. Artikel 71 verbietet die Vergabe von öffentlichen Aufträgen an Personen, die wegen bestimmter Straftaten verurteilt worden sind. Viele dieser Straftaten gehören zu denjenigen, die von juristischen Personen begangen werden können (Wirtschaftsdelikte, Steuerdelikte, Geldwäsche, u.s.w.).
Das Gesetz 2/2017 verlangt derzeit nicht, dass die Unternehmen über strafrechtliche Compliance Programme verfügen, um mit öffentlichen Auftraggebern kontrahieren zu können. Strafrechtliche Compliance Programme rechtfertigen sich aufgrund der Vorschriften des Artikels 33 bis des spanischen Strafgesetzbuches.
Nach Artikel 72.5 des Gesetzes über das öffentliche Auftragswesen gilt das o.e. Verbot des Artikels 71 jedoch nicht, wenn das verurteilte Unternehmen die auferlegten Bußgelder bezahlt hat und nachweist, dass es angemessene technische, organisatorische und personelle Maßnahmen getroffen hat, um Ordnungswidrigkeiten zukünftig zu vermeiden.
Zu diesen Ordnungswidrigkeiten zählt das Gesetz u.a. Verstöße gegen Marktdisziplin, Verzerrung des Wettbewerbs, Verstöße gegen das Ausländerrecht, oder schwere Verstöße gegen das Arbeitsrecht, das Steuerrecht oder das Sozialversicherungsrecht. Es handelt sich um zivil-, arbeits- oder verwaltungsrechtliche Verstöße, die in schwerwiegenden Fällen ein Delikt darstellen und in einem strafrechtlichen Compliance Programm vorgesehen sein müssen.
Folglich sind strafrechtliche Compliance Programme nicht nur zur Verhütung von Straftaten nützlich, sondern in den erwähnten Fällen auch, um mit öffentlichen Auftraggebern kontrahieren zu können.

Su art. 71 prohíbe la contratación pública con personas que hayan sido condenadas por determinados delitos, entre ellos muchos de los susceptibles de ser cometidos por la persona jurídica (delitos económicos, contra la Hacienda Pública, blanqueo, etc).
La ley no exige por el momento, para contratar con la Administración Pública, que las empresas dispongan de programas de prevención en materia penal. Estos programas se justifican por sí mismos en atención a lo previsto en el art. 31 bis del Código Penal.
Ahora bien, en los supuestos de prohibición de contratar con la Administración por haber incurrido el contratante en irregularidades administrativas, civiles o laborales, el art. 72.5 de la Ley 9/2017 prevé que no procederá la prohibición de contratar cuando la empresa contratista haya pagado las sanciones impuestas y demuestre “la adopción de medidas técnicas, organizativas y de personal apropiadas para evitar la comisión de futuras infracciones administrativas”.
Entre estos incumplimientos la ley incluye las infracciones en materia de disciplina de mercado, de falseamiento de la competencia, extranjería, en materia medioambiental o las infracciones muy graves en materia laboral, contra la Agencia Tributaria o la Seguridad Social, etc. Son infracciones civiles, laborales o administrativas que, en los supuestos más graves tienen carácter delictivo y que siempre deben estar previstas en un Programa de Compliance Penal. Por lo tanto, estos programas serán útiles no sólo para la prevención de ilícitos penales, sino, en los supuestos mencionados, para poder contratar con la Administración Pública.
