[value] => Um die Erfüllung von Vertragsvereinbarungen abzusichern, können die Parteien auf Strafklauseln zurückgreifen. Als Teil der Privatautonomie, die den Parteien zuerkannt wird und in Übereinstimmung mit dem Código Civil, können die Vertragspartner, wenn auch in Grenzen, die Verträge, Klauseln und Bedingungen festlegen, die sie für angebracht halten. Dabei erlaubt das Gesetz dem Richter für den Fall, dass die Hauptverpflichtung teilweise oder mangelhaft durch den Schuldner erfüllt wurde, die Strafe angemessen zu modifizieren.
Nach ständiger Rechtsprechung jedoch, kann die Mäßigung nicht vorgenommen werden, sofern die Klausel für eine bestimmte Nichterfüllung vorgesehen ist. Die Mäßigungsbefugnis ist besonders wichtig bei Verträgen zwischen Unternehmern, da es keine Möglichkeit einer speziellen Missbrauchskontrolle wie bei Verbraucherverträgen gibt. In dem Urteil vom 14. Februar 2018 hat der Tribunal Supremo die in einem zwischen zwei Unternehmern abgeschlossenem Mietvertrag vereinbarte Strafe untersucht, nachdem der Vertrag wegen Nichtzahlung aufgelöst wurde und der Vermieter einen neuen Vertrag mit einem Dritten abgeschlossen hatte.
Der Tribunal Supremo erinnert daran, dass die Funktion und Wirkung der Strafklausel von dem vertraglich Vereinbarten abhängt und weicht von dem angegriffenen Urteil ab, welches besagte, dass eine Strafe nicht gefordert werden könne, da der Vermieter aufgrund des neu abgeschlossenen Vertrages keinen Schaden erlitten habe. Der Tribunal Supremo weist darauf hin, dass die Strafe ausdrücklich “unbeschadet des Schadensersatzes, der durch besagte Nichterfüllung hervorgerufen worden wäre” vereinbart wurde. Die Strafe richte sich also in antizipierender Weise an den Ausgleich von Schäden und könne eingefordert werden, sobald sich die Nichterfüllung, auf die sie sich bezieht, realisiert habe, unabhängig vom Nachweis der Schäden. Er kommt zu dem Schluss, dass es inkohärent wäre, die Klausel bis zum Punkt ihres Erlöschens zu mäßigen.

[value] => Para asegurar el cumplimiento de lo pactado en un contrato, las partes pueden recurrir a acordar cláusulas penales. Como parte de la autonomía que se le reconoce a las partes y de acuerdo con el Código Civil, los contratantes pueden, aunque con límites, establecer los pactos, cláusulas y condiciones que tengan por conveniente, si bien la Ley permite al juez modificar equitativamente la pena cuando la obligación principal hubiera sido en parte o irregularmente cumplida por el deudor.
Sin embargo, es doctrina jurisprudencial constante que cuando la cláusula se prevé para un determinado incumplimiento, no procede ejercer dicha moderación. Esta facultad moderadora tiene especial importancia en contratos entre empresarios, pues no cabe un control específico de abusividad como en los contratos de consumidores.
En la Sentencia de fecha 14 de febrero de 2018, el Tribunal Supremo ha analizado la pena pactada en un contrato de arrendamiento entre dos empresarios, cuando, tras el impago de la renta, el contrato quedó resuelto y el arrendador celebró un nuevo contrato con un tercero. El TS recuerda que la función y el efecto de la cláusula penal dependen de lo pactado y diverge de la sentencia recurrida, que consideraba, que no procedía exigencia de la pena, ya que tras la celebración del nuevo contrato, el arrendador no sufrió daño alguno. Señala, que la pena se pactó expresamente “sin perjuicio de la indemnización por daños y perjuicios que dicho incumplimiento le hubiese ocasionado”. La pena pactada, por tanto, se dirigía a liquidar de manera anticipada los daños y era exigible una vez que se produjera el incumplimiento a que se refería, con independencia de la acreditación de esos daños. El Tribunal Supremo concluye que resulta incoherente aplicar la moderación de la cláusula hasta el punto de extinguirla.
