[value] => Im Rahmen der „Coty-Entscheidung“ des EuGH wurden die kartellrechtlichen Zulässigkeitsgrenzen selektiver Vetriebssysteme weiter konkretisiert. Unter diesen versteht man nach europäischer Definition Vorgaben seitens des Anbieters von Waren an den Händler für dessen Vertriebswege.
In diesen Vorgaben werden teilweise kartellrechtlich unzulässige Beschränkungen der Wettbewerbsfreiheit gemäß Art. 101 I AEUV sowie der Gruppenfreistellungsverordnung 330/2010 gesehen, da diese kleinere Online-Unternehmen sowie den Verbraucher benachteiligen können. Auf europäischer Ebene haben insoweit insbesondere die Metro, Loreal- sowie Pierre Fabre-Entscheidungen des EuGH genaue Voraussetzungen definiert, unter denen Vetriebssysteme seitens des Anbieters beeinflusst werden dürfen. Insbesondere das Bundeskartellamt war in der Vergangenheit streng gegen solche Vereinbarungen vorgegangen.
Im konkreten Fall hatte die Coty GmbH (CG) i.R.e. Zusatzvereinbarung mit der Parfümerie Akzente GmbH (PA) ein sogenanntes „Drittplattformverbot“ vereinbaren wollen. Dieses sollte es PA untersagen, Produkte der CG auf Drittplattformen (bspw. Ebay, Amazon etc.) zu vertreiben. Da die PA nicht unterschreiben wollte, klagte die CG auf Unterlassung des Vertriebs über Dritte. Die Berufungsinstanz des OLG Frankfurts setzte das Verfahren aus und rief den EuGH um Vorabentscheidung an.
Der EuGH entschied zu Gunsten der CG. Gestützt wurde die ausnahmsweise Zulässigkeit eines selektiven Vertriebssystemes auf die Wahrung des Luxusimages der Waren. Da der Anbieter beim Vertrieb über Dritte keinen Einfluss auf die Wahrung von Qualitätsstandards nehmen kann, sei ein vollständiges Verbot nur ausnahmsweise verhältnismäßig. Die konkrete Ausgestaltung stelle eine Vorgabe zum „wie“ des Vertriebs und nicht zum „ob“ dar. Dies vor allem, da die PA weiterhin online vertreiben dürfe, über den eigenen Shop, und zugleich die Möglichkeit bestehe, Online-Werbung zu schalten (und damit einen weiten Kundenstamm zu erreichen). Die Vereinbarung sei deshalb wettbewerbsrechtlich zulässig.

[value] => En relación con la “Decisión Coty” del TJUE, se han concretizado los límites legales de competencia leal respecto a los sistemas de distribución selectiva, entendiéndose como tales según la normativa europea, la imposición de normas de proveedores a sus distribuidores para condicionar su sistema de distribución.
Estas normas pueden considerarse restricciones a la libre competencia según el Art. 101 TFUE y el Reglamento (UE) 330/2010, ya que podrían perjudicar a pequeñas empresas de venta a distancia y a consumidores. A nivel europeo ha sido sobre todo en las sentencias Metro, Loreal y Pierre Fabre del TJUE donde se han definido los supuestos en los que los proveedores pueden determinar los sistemas de distribución de sus distribuidores sin incumplir la prohibición de prácticas colusorias. El TDC ha actuado en el pasado de forma estricta ante estos acuerdos.
En este caso concreto, Coty GmbH (CG) quería celebrar con Parfümerie Akzente GmbH (PA) un acuerdo adicional que prohíbe la distribución de sus productos a través de plataformas de terceros, como p.e. Ebay, Amazon, etc. PA se negó a firmar el acuerdo, por lo que CG había interpuesto demanda de cesación contra la venta tras terceros. La instancia de apelación, el TRS de Frankfurt suspendió el procedimiento y sometió el asunto al TJUE a petición de decisión prejudicial.
El TJUE decidió a favor de CG. Precisó que un sistema de distribución de productos de lujo dirigido a preservar la imagen de exclusividad de sus productos no incumple la prohibición de prácticas colusorias y que una prohibición total sin excepciones sería desproporcionada, dado que un proveedor que vende sus productos a través de un distribuidor, no puede controlar el cumplimiento de las normas de calidad. La concretización de las vías de distribución sólo afectaría a su forma, no cuestionaría la distribución en sí.
Argumentó que PA podía seguir con la venta online en su propia web y que existía además la posibilidad de publicar anuncios online (para así promocionarse ante más clientela). Consideró, por tanto, que el acuerdo es conforme a las normas de competencia leal.
