[value] => Am 2. April 2017 hat die Generaldirektion für Register und Notare (DGRN) die Entscheidung eines Registerbeamten widerrufen und die Eintragung folgender Satzungsklausel gestattet:
„Ebenfalls gültig ist die Abstimmung eines Gesellschafters mittels eines schriftlichen Dokuments mit beglaubigter Unterschrift oder mittels eines elektronisch mit seiner elektronischen Unterschrift übermittelten Dokuments. Die Hauptversammlung kann diese Mittel jedoch auch ohne Unterschriftsbeglaubigung bzw. elektronischer Unterschrift akzeptieren. In beiden Fällen muss die Stimmabgabe mindestens 24 Stunden vor Beginn der Hauptversammlung bei der Gesellschaft eingehen.“
Der Registerbeamte verweigerte die Eintragung der Klausel mit der Begründung, nach dem Kapitalgesellschaftsgesetz könne eine Stimmabgabe mittels jedweder Fernkommunikation nur dann erfolgen, wenn die Identität der ihr Stimmrecht ausübenden Person garantiert sei. Diese Identitätsgarantie wäre nicht gegeben, wenn schriftliche Abstimmungen ohne Unterschriftsbeglaubigung oder telematisch, ohne elektronische Unterschrift übermittelte Stimmen angenommen würden.
Die DGRN bejaht jedoch die Gültigkeit der Klausel, da andernfalls die Willensfreiheit zu stark eingeschränkt sei. Sie ist zudem der Ansicht, dass die Satzungsklausel einen Mechanismus enthält (Erhalt der Stimme mindestens 24 Stunden vor Sitzungsbeginn), der es der Hauptversammlung und den Verwaltern bei Bedarfsfall ermögliche, rechtzeitig geeignete Kontrollmaßnahmen zu ergreifen. Schließlich spricht sich die DGRN ebenfalls für die Gültigkeit der Klausel auf Ebene des Verwaltungsrates aus; die Stimme müsse dabei nicht im Voraus erhalten werden, zumal die Anzahl der Mitglieder geringer und somit eine Kontrolle der Identität der Stimmabgabe einfacher sei.

[value] => El pasado 2 de abril de 2017 la Dirección General de los Registros y del Notariado (DGRN) dictó una resolución por la que revocaba la decisión de un registrador y, por tanto, admitía la inscripción de la siguiente cláusula estatutaria: “También será válido el voto ejercitado por el socio por medio de escrito con firma legitimada, o por medio de documento remitido telemáticamente con su firma electrónica. No obstante, la Junta podrá aceptar dichos medios aun sin legitimación de firma ni firma electrónica.
En ambos casos, el voto deberá de recibirse por la sociedad con un mínimo de 24 horas de antelación a la hora fijada para el comienzo de la junta”. El registrador denegó la inscripción de la cláusula por entender que, conforme a la Ley de Sociedades de Capital, la emisión de voto por cualquier medio de comunicación a distancia únicamente se puede efectuar si se garantiza debidamente la identidad del sujeto que ejercite su derecho de voto. Dicha garantía de identidad no se cumpliría si se admitieran votos escritos sin legitimación de firmas o telemáticos sin firmas electrónicas. Sin embargo, la DGRN considera que se trata de una cláusula válida porque de otro modo se limitaría en exceso la autonomía de la voluntad. Entiende, además, que la cláusula estatutaria incluye un mecanismo (i.e. que la sociedad reciba el voto con una antelación mínima de 24 horas antes de la celebración de la junta) que permitiría, llegado el caso, poder desplegar medidas de prudente control con una antelación suficiente tanto por la junta como por los administradores. De igual manera entiende la DGRN que para el Consejo de Administración la cláusula estatutaria es igualmente válida, incluso sin la necesidad de recibir el voto con antelación, por resultar inferior el número de miembros y, por tanto, ser más sencillo el control de la identidad del voto.
