[value] => Das EuGH-Urteil Polbud zeigt Neuigkeiten zur Verlegung des Gesellschaftssitzes und dem jeweils geltenden Staatsrecht. Dem EuGH wurden zwei Fragen gestellt:
(i) ob die Niederlassungsfreiheit anwendbar ist, wenn nur der Sitz einer nach dem Recht eines Mitgliedstaates („MS“) gegründeten Gesellschaft auf das Gebiet eines anderen MS verlegt wird und diese in eine Gesellschaft des zweiten MS umgewandelt wird, ohne den tatsächlichen Sitz zu verlegen; und
(ii) ob das Recht des ursprünglichen MS, Polen, das die Liquidation der Gesellschaft für die Registrierung der Verlegung erfordert, kompatibel mit der Niederlassungsfreiheit ist.
Nach dem EuGH erkennt das EU-Recht die Niederlassungsfreiheit für jede Gesellschaft, die nach den Gesetzen eines MS gegründet wird und die ihren Sitz oder Haupttätigkeit in der EU hat. Insbesondere wird das Recht, eine Gesellschaft in eine Gesellschaft umzuwandeln, die dem Recht eines anderen MS unterliegt, erkannt. Die Niederlassungsfreiheit ermöglicht diese Umwandlung, sofern im Ziel-MS die Voraussetzungen für die Gründung und die Verbundenheit mit dessen nationalem Recht erfüllt sind. Wenn die Kriterien des Ziel-MS zur Erstellung der Verbindungspunkte mit dem Rechtssystem erfüllt werden, liegt die Verlegung innerhalb der Niederlassungsfreiheit, auch wenn die Gesellschaft alle ihre Aktivitäten im Herkunfts-MS hinterlässt. Den eingetragenen oder wirtschaftlichen Sitz in Übereinstimmung mit den Vorschriften eines MS festzulegen, um günstigere Vorschriften zu genießen stellt keinen Rechtsmissbrauch dar.
Was die zweite Frage betrifft, kann nach polnischem Recht eine Gesellschaft nur nach Liquidation die Löschung im Register veranlassen. Der EuGH legt fest, dass die Liquidation die Beendigung der laufenden Operationen, die Einzahlung von Forderungen, die Zahlung an Gläubiger, die Liquidation des Unternehmensvermögens, usw. umfasst, die die grenzüberschreitende Transformation verhindern können. Da keine weniger restriktiven Maßnahmen ermöglicht werden, ist dies eine Beschränkung der Niederlassungsfreiheit.

[value] => La sentencia TJUE Polbud introduce novedades sobre el cambio del domicilio de una sociedad y de su régimen aplicable. Se plantearon al TJUE dos cuestiones:
(i) si la libertad de establecimiento es aplicable al traslado únicamente del domicilio social de una sociedad constituida con arreglo al Derecho de un Estado miembro (“EM”) al territorio de otro EM, cuando esta sea transformada en una sociedad regida por el Derecho de este otro EM sin que se traslade su sede real; y
(ii) si la ley polaca, correspondiente al EM de origen, que requiere la liquidación de la sociedad para registrar el traslado es compatible con la libertad de establecimiento.
Según el TJUE, el Derecho de la UE reconoce el libre establecimiento a toda sociedad constituida según la ley de un EM y cuya sede social o centro de actividad principal esté en la UE, comprendiendo esto el derecho de la sociedad a transformarse en una sociedad sometida a la ley de otro EM. El libre establecimiento permite la transformación transfronteriza siempre que se cumplan los requisitos para la constitución y los puntos de conexión de una sociedad con su ordenamiento jurídico nacional en el EM de destino. Si se respeta el criterio adoptado por el EM de destino para establecer los puntos de conexión de una sociedad con su ordenamiento jurídico, el traslado está comprendido en el libre establecimiento, aunque la sociedad ejerza sus actividades en el EM de origen. Establecer el domicilio (social o efectivo) de conformidad con la ley de un EM con el fin de disfrutar de una ley más ventajosa no es un abuso de Derecho. Sobre la segunda cuestión, según Derecho polaco, una sociedad sólo puede obtener la cancelación en el Registro tras haber sido liquidada.
El TJUE señala que la liquidación incluye la terminación de las operaciones en curso, el cobro de créditos, la satisfacción de los acreedores, la liquidación del patrimonio social, etc. que pueden frenar la transformación transfronteriza. Al no permitir medidas menos restrictivas, esto es una restricción al libre establecimiento.
