[value] => Im Oktober-Newsletter erläuterten wir die Zulässigkeit von Schiedsgerichtsvereinbarungen zur Entscheidung über Beschlussmängelstreitigkeiten in der GmbH. Wir stellten fest, dass der Bundesgerichtshof (BGH) dies seit 2009 ausdrücklich befürwortet. Dabei bleibt es jedoch nicht.
Der BGH hat in seinem Beschluss vom 6.4.2017 (II ZR 255/08) auch die Schiedsfähigkeit von Streitigkeiten über Gesellschafterbeschlüsse einer Personengesellschaft wie die Kommanditgesellschaft bestätigt. Er hat gleichzeitig klargestellt, dass für die Begründung der Zuständigkeit von Schiedsgerichten nicht etwa eine einfache Schiedsklausel ausreicht. Vielmehr gelten die für die GmbH entwickelten Mindestanforderungen an die Wirksamkeit von Schiedsvereinbarungen in Gesellschaftsverträgen, die auch Beschlussmängelstreitigkeiten erfassen sollen, im Grundsatz auch für Personengesellschaften. Zu diesen Mindestanforderungen gehört – nochmals kurz zusammengefasst –, dass neben den Gesellschaftsorganen die Gesellschafter über die Einleitung und den Verlauf des Schiedsverfahrens hinreichend informiert werden. Sämtliche Gesellschafter müssen ferner an der Auswahl und Bestellung der Schiedsrichter mitwirken können. Und schließlich muss gewährleistet sein, dass alle denselben Streitgegenstand betreffenden Beschlussmängelstreitigkeiten bei einem Schiedsgericht konzentriert werden. Diese Anforderungen – so der BGH – gelten auch für die Personengesellschaft, sofern bei diesen gegenüber Kapitalgesellschaften keine Abweichungen geboten sind.
Eine solche Geltung hat der BGH für die GmbH & Co. KG, die als typische Publikumsgesellschaft im Rahmen einer Fondstruktur organisiert ist, in vorbenannten Beschluss bejaht. Nach seiner Argumentation müssen die Kommanditisten einer KG ebenso wie die Gesellschafter einer GmbH vor Benachteiligungen und Entziehung des notwendigen Rechtsschutzes bewahrt werden. Damit ist ein weitergehender Gleichlauf der Anforderungen an die Zulässigkeit von Schiedsklauseln betreffend Beschlussmängelstreitigkeiten bei der Kapital-und Personengesellschaft gegeben.

[value] => Nuestra contribución de octubre exponía hasta qué punto es viable zanjar controversias surgidas en torno a la validez de la adopción de acuerdos sociales en las sociedades de responsabilidad limitada (GmbH) ante tribunales arbitrales. Para tal fin, citábamos la sentencia del Tribunal Supremo alemán (BGH) de 2009, que brindaba plena viabilidad a este instrumento de solución de controversias.
Ahora bien, no se queda en eso el tema; con su auto de 6.4.2017 (II ZR 255/08) confirma el BGH la posibilidad de aplicar tal instrumento a sociedades personalistas como las sociedades en comandita. Igualmente aclara el BGH que la acreditación de la competencia de un tribunal arbitral requiere algo más que una simple cláusula arbitral. En efecto, los criterios mínimos establecidos para la GmbH para admitir la solución de controversias en la adopción de acuerdos sociales mediante tribunal arbitral son de aplicación igualmente a sociedades personalistas. Entre estos criterios mínimos figuran – brevemente expuestos – la necesidad de mantener a los órganos sociales y socios al corriente acerca del inicio y progreso del proceso arbitral. Además, todos los socios deben participar en la elección y nombramiento del juez arbitral y debe asegurarse que todas las controversias surgidas en torno a la adopción de acuerdos sociales se traten de forma conjunta ante un único tribunal.
Según el BGH, por regla general tales requisitos son de igual aplicación para sociedades personalistas, confirmando de forma expresa su aplicación a la GmbH & Co. KG (sociedad comandita cuyo socio colectivo es una GmbH – una estructura societaria típica de uso en Alemania) que actúa como fondo de inversión. Según la argumentación del BGH, los socios comanditarios, al igual que los socios de la GmbH, deben ser protegidos contra cualquier desventaja y puestos a salvo de perder su protección judicial. Todo ello se traduce en un paralelismo respecto de los criterios de admisibilidad de las cláusulas arbitrales para casos de fallos en la adopción de acuerdos sociales en sociedades de capital y personalistas.
