[value] => Artikel 29.1 des Körperschaftsteuergesetzes regelt, dass neu gegründete Gesellschaften, die wirtschaftlichen Tätigkeiten nachgehen, sowohl in dem ersten Veranlagungszeitraum, in dem deren Bemessungsgrundlage positiv ausfällt, als auch in dem auf diesen folgenden, mit einem Satz von 15% besteuert werden, ausgenommen die Vermögensverwaltungsgesellschaften.
Die Geschäftstätigkeit gilt in diesem Zusammenhang nicht als aufgenommen, wenn dieselbe vorher von anderen Personen oder verbundenen Gesellschaften ausgeübt und aufgrund irgendeines Rechtstitels auf die neu gegründete Gesellschaft übertragen wurde oder, wenn die wirtschaftliche Tätigkeit in dem Jahr vor der Gründung der Gesellschaft von einer natürlichen Person ausgeübt worden sein sollte, die, mittelbar oder unmittelbar, zu mehr als 50% an dem Kapital oder den Eigenmitteln der neu gegründeten Gesellschaft beteiligt ist.
Die Generaldirektion für Abgaben („DGT“) bestätigt in ihrer Rechtsauskunft V0255/2017 vom 01.02.2017 die Anwendung des 15-Prozent-Satzes in einem Fall, in dem eine natürliche Person die von ihr ausgeübte Tätigkeit in eine neu gegründete Gesellschaft, an der sie eine Beteiligung von 50% hält, einbringt. Andererseits lehnte die DGT in ihrer Rechtsauskunft V3147/2016 vom 06.07.2017 den von einer Gesellschaft gestellten Antrag auf Anwendung des 15-Prozent-Satzes ab, welche die Tätigkeit von einer Person erworben hatte, die sich zwar in der übertragenen Tätigkeit angemeldet hatte, aber dieser nach eigener Aussage niemals nachgegangen war, und zwar mit der Begründung, dass jene zumindest die Absicht hegte, dieser nachzugehen.

[value] => El artículo 29.1 de la Ley del Impuesto sobre Sociedades establece que las entidades de nueva creación, excepto las entidades patrimoniales, que realicen actividades económicas tributarán, en el primer período impositivo en que la base imponible resulte positiva y en el siguiente, al tipo del 15%.
A estos efectos no se entiende iniciada la actividad cuando la misma hubiera sido realizada con carácter previo por otras personas o entidades vinculadas y transmitida, por cualquier título jurídico, a la entidad de nueva creación o cuando la actividad económica hubiera sido ejercida, durante el año anterior a la constitución de la entidad, por una persona física que ostente una participación, directa o indirecta, en el capital o en los fondos propios de la entidad de nueva creación superior al 50%.
La DGT en su consulta V0255/2017 de 01.02.2017 confirma la aplicación del tipo del 15% a un supuesto en el que una persona física aporta la actividad que desarrollaba a una entidad de nueva creación ostentando una participación del 50% de la misma. Por el contrario, en su consulta V3147/2016 de 06.07.2017 deniega la aplicación del tipo del 15% a una entidad que adquiere la actividad de una persona que se había dado de alta en la actividad transmitida aunque manifiesta que no ejerció la misma, al considerar que al menos tenía intención de hacerlo.
